【摘要】：通過(guò)中國(guó)上市醫(yī)藥企業(yè)2012~2015年間的數(shù)據(jù),探索公司治理對(duì)醫(yī)藥上市企業(yè)創(chuàng)新價(jià)值創(chuàng)造率的影響機(jī)制,將公司治理劃分為控制權(quán)分配、科學(xué)決策和激勵(lì)約束三大方面,利用SFA測(cè)算和非效率項(xiàng)的影響分析,發(fā)現(xiàn)公司治理對(duì)創(chuàng)新價(jià)值創(chuàng)造率的影響集中體現(xiàn)在當(dāng)期,兩職合一、精簡(jiǎn)高效的董事會(huì)規(guī)模和高管激勵(lì)表現(xiàn)出了積極的正向促進(jìn)作用,表明我國(guó)醫(yī)藥企業(yè)想要提高創(chuàng)新價(jià)值創(chuàng)造率可在公司治理結(jié)構(gòu)調(diào)整方面付出努力。
[Abstract]:Based on the data of Chinese listed pharmaceutical enterprises from 2012 to 2015, this paper explores the influence mechanism of corporate governance on innovation value creation rate of pharmaceutical listed enterprises, and divides corporate governance into three aspects: distribution of control rights, scientific decision-making and incentive constraints. By using the SFA measurement and the impact analysis of the non-efficiency items, it is found that the impact of corporate governance on the innovation value creation rate is concentrated in the current period, the integration of two positions, the streamlining of the size of the board of directors and the incentive of senior executives have shown a positive role. It shows that Chinese pharmaceutical enterprises can make great efforts in the adjustment of corporate governance structure if they want to improve the rate of innovation value creation.
