【摘要】：“也許微乎其微，但我們正在改變世界！”小微企業(yè)在經(jīng)濟、社會生活中已成為不可或缺的一部分，其在科技創(chuàng)新、技術(shù)改造、開拓市場等方面具有無與倫比的作用。當然小微企業(yè)作為一種新興企業(yè)形式，本身缺乏自我管制能力，且無合理的法律規(guī)則和明確的管理制度予以規(guī)制，使其無序化、散亂化、自我膨脹化的劣勢顯露無疑。其在一定地域內(nèi)的角色定位要求它獨具特色，并伴隨與眾不同的小微經(jīng)濟體系形成獨樹一幟的法律文化，地域性對小微企業(yè)發(fā)展的影響不言而喻。小微地域性經(jīng)濟體系原則上不具有普適性，但分析小微企業(yè)地域性法律問題卻是對形成整個小微經(jīng)濟體系極有裨益的。 本文主要從地域性對小微企業(yè)發(fā)展的影響出發(fā)，研究經(jīng)濟地域性狀與法律規(guī)則之間的關(guān)系，分析地域經(jīng)濟中小微企業(yè)的法律地位及法律文化形成的過程。從法經(jīng)濟學理論以及資源稀缺的基礎(chǔ)上，針對自然稟賦不同形成的具有地域性或者資源性小微企業(yè)集聚化、模式化的特點，基于法律形成與演化的視角，以一定區(qū)域小微企業(yè)法律制度構(gòu)建為目的，在完善現(xiàn)有小微企業(yè)法律制度的同時，，提出小微企業(yè)地域性立法保護。文章主要內(nèi)容如下： 第一部分通過多學科的比較、中外比較等分析方法，界定了文章的核心概念：小微企業(yè)法律化。對法律缺失環(huán)境下僅依賴政策扶持的小微企業(yè)進行分析，梳理企業(yè)主體在政策扶持環(huán)境下的發(fā)展態(tài)勢。并對小微企業(yè)現(xiàn)狀和前景進行深度剖析，簡要介紹小微企業(yè)地域性特點，旨在說明經(jīng)濟地域性在小微企業(yè)法律化發(fā)展過程中的重要影響及積極干預能力。 第二部分由四個方面展開。其一，小微企業(yè)地域性的內(nèi)在問題，即經(jīng)濟地域性狀與小微企業(yè)發(fā)展模式的內(nèi)在聯(lián)系；其二，小微企業(yè)地域性深層的、潛在的問題，主要是社會主義市場經(jīng)濟發(fā)展的必然要求和區(qū)域經(jīng)濟制度發(fā)展的趨勢；其三，小微企業(yè)地域性與經(jīng)濟發(fā)展的外在聯(lián)系問題，也就是對地域文化轉(zhuǎn)化為經(jīng)濟力的法律視角分析；其四，小微企業(yè)法律民間化的經(jīng)濟法理論基礎(chǔ)和經(jīng)濟制度支持。 第三部分對小微企業(yè)市場機制法律問題進行分析。從多個角度論述我國小微企業(yè)作為經(jīng)濟主體參與經(jīng)濟活動中的狀況，并詳細的分析具有地域性特點或依靠地域獨特資源的小微企業(yè)其市場準入、經(jīng)營、責任承擔和退出的市場機制。 第四部分介紹了歐美、日韓等國家及我國臺灣地區(qū)，在小微企業(yè)發(fā)展初始階段以及小微企業(yè)地域性法律化方面的立法現(xiàn)狀和歷史沿革，為我國小微企業(yè)法律的制定提供借鑒，指明我國小微企業(yè)法律化的發(fā)展方向。 第五部分提出小微企業(yè)地域性立法建議，以區(qū)域法律制度為試點，嘗試小微企業(yè)在法律規(guī)制框架下進行市場活動。提出我國小微企業(yè)發(fā)展應該堅持的發(fā)展方向及完善措施。運用經(jīng)濟學系統(tǒng)綜合模型研究小微企業(yè)地域性的基本立法模式，將區(qū)域經(jīng)濟學和法學聯(lián)系，制定小微企業(yè)地域性法律制度。 小微企業(yè)的發(fā)展是經(jīng)濟政策導向和扶持以及適宜的法律環(huán)境雙重因素決定的。小微企業(yè)地域性是現(xiàn)階段地域經(jīng)濟發(fā)展的重要部分，區(qū)域經(jīng)濟價值的實現(xiàn)不單要求經(jīng)濟配合，更要與之適應的法律環(huán)境和制度。因此小微企業(yè)法律制度的地域化是解決區(qū)域經(jīng)濟發(fā)展的長效機制。
[Abstract]:"Maybe very little, but we are changing the world!" Small and micro businesses in the economic and social life has become an indispensable part of, in the scientific and technological innovation, technological transformation, has incomparable role to develop the market and so on. Of course Small and micro businesses as a new form of enterprise itself, the lack of self control ability, and no law the rule of reasonable and clear management system to be regulated, the disorder, scattered, self expansion of the weaknesses revealed no doubt. In a certain region requires its unique role, legal culture and with different micro economic system become an independent school, regional small and micro enterprise development influence it is self-evident. The small micro regional economic system in principle is not universal, but the analysis of small and micro enterprise regional law is on the formation of the small and micro economy extremely beneficial.
This article mainly from the regional influence of Small and micro businesses of the development of the relationship between regional economic characteristics and the research of the rule of law, the legal status of the regional economy of small and medium-sized enterprises and the process of legal culture formed. From the basic theory of law and economics and the scarcity of resources, according to the different natural endowments formed with regional or resources Small and micro businesses agglomeration, pattern of characteristics, based on the law of the formation and evolution of view of certain areas Small and micro businesses to build the legal system for the purpose of perfecting the legal system of Small and micro businesses at the same time, put forward Small and micro businesses regional legislative protection. The main contents are as follows:
The first part through the comparison, analysis of Chinese and foreign comparison method, defines the core concepts: Small and micro businesses. The legal analysis of Small and micro businesses lack of legal environment only dependent on policy support, combing business subject development state in policy support environment and potential. The current situation and Prospect of Small and micro businesses depth analysis, brief introduction of Small and micro businesses to regional characteristics, to show the significant influence of regional economy in Small and micro businesses legal development process and active intervention.
The second part consists of four aspects. First, the inherent problems of regional Small and micro businesses, namely regional economic characteristics and small and micro enterprise development mode of internal relations; second, Small and micro businesses regional deep, potential problems, mainly the development of socialist market economy is the inevitable requirement of the development of regional economic system third, the external connection problem trend; Small and micro businesses and regional economic development, also is the legal perspective of the regional culture into economic force analysis; fourth, Small and micro businesses of folk law economic law theory foundation and economic system.
The third part of the Small and micro businesses market mechanism. The analysis of legal issues about China Small and micro businesses as the main economic participation in economic activities in the situation from various angles, and a detailed analysis of Small and micro businesses rely on local or regional characteristics of unique resources of its market access, management, responsibility and market exit mechanism.
The fourth part introduces the Europe and the United States, Japan and South Korea and other countries and Taiwan of China, the legislative status and history of the development of the initial stage in Small and micro businesses as well as small and micro regional legal enterprises, to provide a reference for the development of China's legal Small and micro businesses, indicates that China's small and micro enterprise development law.
This small and micro enterprise regional legislation proposed in the fifth part, with the regional legal system for the pilot, try Small and micro businesses to conduct market activities in the legal regulation framework. Put forward the development direction of China's development Small and micro businesses should adhere to and improve the measures. The use of economics system integrated model research of small and micro regional enterprises the basic mode of legislation, will regional economics and law, formulate Small and micro businesses regional legal system.
The development of Small and micro businesses are economic policy guidance and support as well as the legal environment for the two factors. Small and micro businesses region is an important part of regional economic development at the present stage, to achieve regional economic value requires not only economic cooperation, but also to adapt to the environment and the legal system. Therefore Small and micro businesses law the regional system is a long-term mechanism to solve the regional economic development.
