【摘要】：契約必守是合同法的基石。但隨著經(jīng)濟社會的發(fā)展,市場環(huán)境復(fù)雜多變,往往會出現(xiàn)一些非當事人意愿的事由(也包括對方當事人違約),導(dǎo)致合同的履行成為不可能或不必要。如果片面地固守合同的約束力,無異于強求當事人履行與其訂約目的相違背的合同,這對當事人一方甚至雙方都是有違公平的。合同解除權(quán)作為合同制度的一個重要組成部分,賦予了當事人在一定條件下擺脫合同約束的權(quán)利。我國《合同法》關(guān)于合同解除權(quán)的規(guī)定過于原則,在立法技術(shù)上不夠精細。對于合同解除權(quán)的行使條件、程序、法律后果等等,現(xiàn)行法律并未作出很明確的界定。以致在司法實務(wù)中,各地各級法院認識不一,容易引發(fā)爭議,也成為司法實務(wù)的難點。 本文以我國合同解除權(quán)為研究對象,著重于實務(wù)角度。以合同解除權(quán)的法律適用中存在的問題為視角,運用歷史研究、比較研究法、文獻研究、案例研究等綜合研究方法。通過對合同解除權(quán)法律基礎(chǔ)理論的研究,分析了合同解除權(quán)的法律要件,對合同解除權(quán)行使的方式、期限、法律后果等作了綜合論述。梳理了我國各個部門法對法定解除權(quán)的具體規(guī)定,指出合同法對解除權(quán)的立法不足,分析了實務(wù)中當事人“出讓”合同解除權(quán)的成因并提出應(yīng)對方法。本文還就實務(wù)中容易引發(fā)爭議的幾類合同,諸如已成立未生效合同、單務(wù)合同、預(yù)約合同、繼續(xù)性合同、保留所有權(quán)買賣合同的解除權(quán)作了分析并提出個人觀點。
[Abstract]:Contract must be kept is the cornerstone of contract law. However, with the development of economy and society, the market environment is complex and changeable, which often leads to the non-party 's will (including the other party's breach of contract), which makes the performance of the contract impossible or unnecessary. If we insist on the binding force of the contract unilaterally, it is tantamount to forcing the party to perform the contract which is contrary to the purpose of the contract, which is not fair to either party or even to both parties. As an important part of the contract system, the right to rescind the contract gives the parties the right to get rid of the contract constraint under certain conditions. The stipulation about the right of rescission of contract in contract Law of our country is too principle and is not precise enough in legislation technique. The current law has not clearly defined the conditions, procedures, legal consequences and so on. As a result, in judicial practice, courts at all levels have different understandings, which easily lead to disputes and become difficult points in judicial practice. This article regards the right of rescission of contract in our country as the object of study, focusing on the practical point of view. From the point of view of the problems existing in the application of the law of the right of rescission of contract, this paper applies the comprehensive research methods, such as historical research, comparative study, literature study, case study and so on. Through the study of the basic theory of the right of rescission of contract, this paper analyzes the legal elements of the right of rescission of contract, and makes a comprehensive discussion on the way, time limit and legal consequence of the exercise of the right of rescission of contract. This paper combs the specific provisions of the legal rescission right in various branch laws of our country, points out the insufficiency of the legislation of the contract law on the rescission right, analyzes on the causes of the parties'"transfer" of the rescission right of the contract in practice and puts forward the corresponding methods. This paper also makes an analysis of some kinds of contracts which are easily disputed in practice, such as non-effective contract, single service contract, reservation contract, continuance contract and rescission right of retention-of-title contract, and puts forward a personal viewpoint.
