我國(guó)基金會(huì)投資監(jiān)管的法律研究

【摘要】:近年來(lái),我國(guó)基金會(huì)發(fā)展迅猛,各類型的基金會(huì)都持續(xù)增加,同時(shí)基金會(huì)發(fā)揮著越來(lái)越重要的社會(huì)作用,時(shí)至今日基金會(huì)已經(jīng)成為一支不可或缺的社會(huì)力量。隨著基金會(huì)的社會(huì)地位不斷增強(qiáng),如何更好更快的發(fā)展基金會(huì)成為了研究的熱點(diǎn)。基金會(huì)最為依賴的就是資金,資金也決定著基金會(huì)的生死存亡。在過(guò)去,我國(guó)基金會(huì)的資金來(lái)源渠道比較單一,主要是依靠捐贈(zèng)人的捐贈(zèng),因此發(fā)展受到了很大的制約。另外,,在基金會(huì)的發(fā)達(dá)國(guó)家,投資收益已經(jīng)成為了基金會(huì)的主要收入來(lái)源。正是基于自身發(fā)展的需要和對(duì)發(fā)達(dá)國(guó)家基金會(huì)發(fā)展經(jīng)驗(yàn)的借鑒,越來(lái)越多的基金會(huì)開(kāi)始利用投資來(lái)增加資金收入。然而,我國(guó)基金會(huì)的投資效果并不理想,投資失敗的案例比比皆是,甚至出現(xiàn)了多起違法違規(guī)的投資事件。這些事件反應(yīng)出我國(guó)基金會(huì)投資決策不科學(xué)、不專業(yè),也反應(yīng)出我國(guó)的投資監(jiān)管體系不健全,沒(méi)有進(jìn)行有效的投資監(jiān)管。所以,加強(qiáng)基金會(huì)投資監(jiān)管體系的建設(shè)可以引導(dǎo)基金會(huì)的投資行為走向健康的軌道,這也直接促進(jìn)了基金會(huì)自身的發(fā)展。本文將我國(guó)基金會(huì)投資監(jiān)管問(wèn)題的法律研究作為題目,旨在提出合理化的建議,完善監(jiān)管體系的建設(shè),主要分為四個(gè)方面的內(nèi)容,具體如下。 第一部分是引言,主要是介紹選題的背景和選題的意義,在選題的背景中主要介紹我國(guó)基金會(huì)發(fā)展的現(xiàn)狀和我國(guó)基金會(huì)投資過(guò)程中出現(xiàn)的各種問(wèn)題,在選題的意義中主要介紹基金會(huì)在當(dāng)今社會(huì)中發(fā)揮的作用,以此來(lái)論證研究的意義。 第二部分是對(duì)我國(guó)基金會(huì)投資監(jiān)管的基本概況進(jìn)行梳理,首先簡(jiǎn)要介紹基金會(huì)相關(guān)的法律制度、基金會(huì)的法律地位,著重介紹我國(guó)基金會(huì)的投資現(xiàn)狀、監(jiān)管理念、以及現(xiàn)行的投資監(jiān)管體系,先將基金會(huì)投資監(jiān)管的基本情況做個(gè)概述。 第三部分是介紹我國(guó)基金會(huì)投資監(jiān)管存在的問(wèn)題及原因,主要有五個(gè)方面的內(nèi)容。一是法律法規(guī)不健全;二是行政監(jiān)管不到位;三是內(nèi)部治理不完善;四是行業(yè)自律監(jiān)管缺失;五是沒(méi)有有效的社會(huì)監(jiān)督。 第四部分是針對(duì)上面章節(jié)提到的問(wèn)題,提出相應(yīng)解決的對(duì)策,主要有五條建議。一是建立健全的法律體系;二是完善行政監(jiān)管體制;三是加強(qiáng)基金會(huì)內(nèi)部的治理;四是建立行業(yè)協(xié)會(huì);五是建立完善的社會(huì)監(jiān)督體系。
[Abstract]:In recent years, foundations in our country have developed rapidly, and various types of foundations have continued to increase. At the same time, foundations are playing an increasingly important social role. Today, foundations have become an indispensable social force. As the social status of foundations continues to grow, how to better and faster development foundations has become a hot topic of research. The foundation relies most on funds. Funds also determine the survival of the foundation. In the past, our country's foundation had a relatively single source of funding, mainly relying on donations from donors, so development was greatly restricted. In addition, in the developed countries of the foundation, Investment returns have become a major source of income for foundations. It is precisely because of their own development needs and the experience of foundations in developed countries that more and more foundations are beginning to use investment to increase their capital income. The investment effect of the foundation in our country is not ideal, the cases of investment failure abound, and there are even many illegal and illegal investment events. These events reflect that the investment decision of the foundation in our country is unscientific and unprofessional. It also reflects that the investment supervision system in our country is not perfect and there is no effective investment supervision. Therefore, strengthening the construction of the foundation investment supervision system can lead the investment behavior of the foundation to a healthy track. This has also directly promoted the development of the foundation itself. This paper takes the legal research on the investment supervision of foundations in our country as the topic, aiming at putting forward reasonable suggestions and perfecting the construction of the supervision system, which is mainly divided into four aspects. The details are as follows. The first part is the introduction, mainly introduces the background of the topic and the significance of the topic. In the background of the topic, it mainly introduces the current situation of the development of the foundation in our country and the various problems that appear in the process of investment of the foundation in our country. This paper mainly introduces the role of foundation in today's society in order to demonstrate the significance of the research. The second part is to sort out the basic situation of the foundation investment supervision in our country. Firstly, it briefly introduces the relevant legal system of the foundation, the legal status of the foundation, and emphatically introduces the present investment situation and the supervision idea of the foundation in our country. As well as the current investment regulatory system, the foundation investment supervision of the basic situation to make an overview. The third part is to introduce the problems and reasons of the foundation investment supervision in our country. There are five main contents. One is that the laws and regulations are not perfect; the other is the administrative supervision is not in place; the third is the internal governance is not perfect. Fourth, the lack of self-regulation of the industry; fifth, there is no effective social supervision. Part 4th is to put forward corresponding solutions to the problems mentioned in the above section, there are mainly five suggestions. One is to establish a sound legal system, the other is to improve the administrative supervision system, third, to strengthen the internal governance of the Foundation; Fourth, the establishment of trade associations; fifth, the establishment of a sound social supervision system.
