【摘要】：推進(jìn)混合所有制改革是深化國(guó)有企業(yè)改革的重要政策工具和戰(zhàn)略目標(biāo)。然而,混合制國(guó)有企業(yè)治理結(jié)構(gòu)改革在現(xiàn)實(shí)推進(jìn)中卻困難重重,理論和實(shí)踐表明沉淀成本的影響不容忽視。對(duì)沉淀成本進(jìn)行理論溯源和分類拓展,探尋經(jīng)濟(jì)性與制度性沉淀成本的不同構(gòu)成,結(jié)論為:經(jīng)濟(jì)性沉淀成本對(duì)混合制國(guó)有企業(yè)治理結(jié)構(gòu)演化路徑形成制約,而制度性沉淀成本則型塑了混合制國(guó)有企業(yè)治理結(jié)構(gòu)的制度變遷。降低沉淀成本,完善混合制國(guó)有企業(yè)法人治理結(jié)構(gòu)的路徑,一是推進(jìn)國(guó)有企業(yè)兼并重組,降低經(jīng)濟(jì)性沉淀成本,完善混合制國(guó)有企業(yè)法人治理結(jié)構(gòu);二是加快制度創(chuàng)新,降低制度性沉淀成本,構(gòu)建混合制國(guó)有企業(yè)治理結(jié)構(gòu)改革制度保障體系;三是打破利益結(jié)構(gòu),推進(jìn)混合制國(guó)有企業(yè)治理結(jié)構(gòu)改革;四是遵循經(jīng)濟(jì)發(fā)展規(guī)律,結(jié)合供給側(cè)結(jié)構(gòu)性改革,穩(wěn)步推進(jìn)混合制國(guó)有企業(yè)治理結(jié)構(gòu)改革。
[Abstract]:Promoting the reform of mixed ownership is an important policy tool and strategic target for deepening the reform of state-owned enterprises. However, the reform of governance structure of mixed state-owned enterprises is difficult to advance in reality. The theory and practice show that the influence of precipitation cost can not be ignored. This paper explores the different components of the economic and institutional precipitation costs, and concludes that the economic precipitation costs restrict the evolution path of the governance structure of the mixed state-owned enterprises. The institutional precipitation cost has shaped the institutional changes of the governance structure of the mixed state-owned enterprises. To reduce the precipitation cost and perfect the governance structure of the legal person of the mixed state-owned enterprise, the first is to promote the merger and reorganization of the state-owned enterprise, to reduce the economic precipitation cost, to perfect the corporate governance structure of the mixed state-owned enterprise, and the second is to speed up the system innovation. To reduce institutional sedimentation costs and to build a system to guarantee the reform of the governance structure of mixed state-owned enterprises; third, to break the interest structure and promote the reform of the governance structure of the mixed state-owned enterprises; and fourth, to follow the laws of economic development, In combination with structural reform on the supply side, we will steadily promote the reform of the governance structure of state-owned enterprises with mixed systems.
