【摘要】：自2010年以來，在海外證券市場上市的中國企業(yè)不斷遭到研究機構做空，其證券監(jiān)管部門也加大了對中概股的審查力度，其中以通過借殼方式上市的企業(yè)成為受到監(jiān)管審查的重災區(qū)。這種形勢下，選擇主動退出證券市場的中國企業(yè)數(shù)量不斷增加。而當投資者在談到中資企業(yè)退市時都非常謹慎，甚至有的投資者認為退市的上市企業(yè)就肯定存在違規(guī)違紀行為。這使得希望通過主動退市調(diào)整企業(yè)戰(zhàn)略的中資企業(yè)擔心在謀求退市過程中遭受不公的名譽損失。如何合理看待海外上市的中概股的主動退市，上市企業(yè)又如何通過退出證券市場謀求企業(yè)的戰(zhàn)略調(diào)整，這都需要進行深入的解讀。 本文首先從理論方面，說明了退市是上市企業(yè)由于未滿足交易所有關財務等其他上市標準而主動或被動終止上市的情形。其中主動退市作為上市企業(yè)終止上市的一種方式，本身并不代表企業(yè)經(jīng)營效果和成敗。其次，上市企業(yè)選擇主動退出證券市場之后，可以更加方便的配置公司資源，優(yōu)化企業(yè)產(chǎn)業(yè)鏈；還能節(jié)省維持上市成本、加強集團企業(yè)治理�？梢赃@么說，，上市企業(yè)主動退市的收益也是相當可觀的。最后，有收益就有成本，這就需要進行退市決策的研究。因此，研究中資概念股退市運作的策略就是很有必要的。 本文基于這樣的背景下，通過研究中資企業(yè)退市策略，從退市運作的成本與收益角度進行分析，最后說明企業(yè)主動退市是理性的選擇。
[Abstract]:Since 2010 , Chinese companies listed in the overseas stock market have been increasingly frustrated by research institutions , and their securities regulators have also stepped up their scrutiny of the shares in China . In this situation , the number of Chinese companies that have chosen to withdraw from the stock market has been increasing . In the first place , this paper illustrates the situation in which the listed companies actively or passively terminate the listing due to the failure to meet the other listed criteria such as financial and other listed companies of the Exchange . Based on the background , this paper analyzes the cost and return angle of the operation of the retired city by studying the strategy of returning the city to the city , and finally shows that the enterprise ' s initiative retreat is the choice of reason .
