【摘要】：礦業(yè)企業(yè)的并購(gòu)重組與IPO上市,是我國(guó)礦山產(chǎn)業(yè)從無(wú)序投資走向健康發(fā)展的必經(jīng)之路。但由于礦業(yè)產(chǎn)業(yè)的特殊性,礦業(yè)企業(yè)在并購(gòu)重組與IPO上市的道路上,在礦業(yè)公司估值、并購(gòu)重組法律實(shí)務(wù)、并購(gòu)重組財(cái)務(wù)實(shí)務(wù)及礦業(yè)企業(yè)IPO上市實(shí)務(wù)問(wèn)題等四個(gè)方面需要重點(diǎn)關(guān)注。第一章介紹本文的研究背景和意義,并介紹與本文相關(guān)的重要概念,包括并購(gòu)重組、財(cái)務(wù)規(guī)范、礦業(yè)權(quán)等重點(diǎn)概念。第二章對(duì)礦業(yè)企業(yè)并購(gòu)重組中的估值問(wèn)題進(jìn)行了研究。首先是分析礦業(yè)企業(yè)估值特殊性的原因,然后分析各種估值方法在礦業(yè)企業(yè)應(yīng)用上的適用性和局限性,最后結(jié)合上市公司n 礦并購(gòu)重組的實(shí)際情況研究礦業(yè)企業(yè)的估值合理性問(wèn)題。第三章對(duì)礦業(yè)企業(yè)并購(gòu)重組中遇到的法律問(wèn)題進(jìn)行了研究,主要是法律盡調(diào)的要點(diǎn)以及不同并購(gòu)情況下的法律實(shí)務(wù)。第四章對(duì)礦業(yè)企業(yè)并購(gòu)重組中遇到的財(cái)務(wù)問(wèn)題進(jìn)行了研究,包括財(cái)務(wù)盡調(diào)的要點(diǎn),以及分析礦業(yè)企業(yè)財(cái)務(wù)模型構(gòu)建的實(shí)際問(wèn)題。第五章研究了礦業(yè)企業(yè)IPO上市時(shí)的特殊要求。首先是分析礦業(yè)企業(yè)IPO上市時(shí)的關(guān)鍵問(wèn)題,接著研究礦業(yè)企業(yè)IPO上市時(shí)的難點(diǎn)問(wèn)題和解決之道。
[Abstract]:The merger and reorganization of mining enterprises and the listing of IPO are the only way for China's mining industry to develop healthily from disorderly investment. However, due to the particularity of mining industry, mining enterprises in the road of M & A and IPO listing, in the mining company valuation, M & A legal practice, The finance practice of M & A and the listing practice of mining enterprise IPO need to be paid more attention to. The first chapter introduces the research background and significance of this paper, and introduces the important concepts related to this paper, including mergers and acquisitions, financial norms, mining rights and other key concepts. In the second chapter, the valuation of mining enterprises in M & A is studied. Firstly, it analyzes the reasons for the particularity of mining enterprises' valuation, and then analyzes the applicability and limitation of various valuation methods in mining enterprises. Finally, combining the actual situation of M & A and M & A of listed companies, the paper studies the rationality of valuation of mining enterprises. The third chapter studies the legal problems encountered in the merger and acquisition of mining enterprises, mainly the key points of the law and the legal practice under different mergers and acquisitions. The fourth chapter studies the financial problems encountered in the merger and acquisition of mining enterprises, including the key points of financial regulation, and analyzes the practical problems in the construction of financial model of mining enterprises. The fifth chapter studies the special requirements of mining enterprise IPO listing. First, it analyzes the key problems of mining enterprise IPO listing, and then studies the difficult problems and solutions of mining enterprise IPO listing.
