【摘要】：作為現(xiàn)代經(jīng)濟(jì)的重要組成部分,我國(guó)證券市場(chǎng)的建立在優(yōu)化社會(huì)資源配置方面發(fā)揮了不可替代的作用。但在證券市場(chǎng)高速成長(zhǎng)中,我們也發(fā)現(xiàn)目前我國(guó)的證券市場(chǎng)還不夠成熟,表現(xiàn)為由于價(jià)格背離其內(nèi)在的投資價(jià)值而形成暴漲暴跌的態(tài)勢(shì),特別是上市公司會(huì)計(jì)信息披露不規(guī)范導(dǎo)致投資者,尤其是占據(jù)99.59%的中小投資者利益被侵害。因此,為維護(hù)我國(guó)證券市場(chǎng)秩序和保護(hù)投資者利益,研究基于中小投資者保護(hù)的證券市場(chǎng)會(huì)計(jì)信息披露具有重要的理論和現(xiàn)實(shí)意義。 論文首先闡述了信息披露和投資者保護(hù)相關(guān)理論及二者關(guān)系；然后,通過(guò)問(wèn)卷調(diào)查,從我國(guó)證券市場(chǎng)投資者保護(hù)角度分析了會(huì)計(jì)信息披露現(xiàn)狀及存在問(wèn)題,并通過(guò)“綠大地”案例,進(jìn)一步揭示上市公司通過(guò)利用虛增收入與利潤(rùn)、關(guān)聯(lián)交易等造假手段披露虛假信息導(dǎo)致投資者蒙受巨大損失；最后,借鑒發(fā)達(dá)國(guó)家為保護(hù)投資者進(jìn)行會(huì)計(jì)信息披露監(jiān)管的先進(jìn)經(jīng)驗(yàn),以“綠大地”公司為案例,提出通過(guò)強(qiáng)化上市公司內(nèi)部治理和充分發(fā)揮上市公司外部監(jiān)管作用雙管齊下的方式提高會(huì)計(jì)信息披露質(zhì)量,達(dá)到保護(hù)中小投資者的目的。
[Abstract]:As an important part of modern economy, the establishment of China's securities market has played an irreplaceable role in optimizing the allocation of social resources, but in the rapid growth of the securities market. We also find that the securities market in our country is not mature enough, because the price deviates from its intrinsic investment value and forms the situation of rise and fall, especially the non-standard disclosure of accounting information of listed companies leads to investors. In particular, 99.59% of the interests of small and medium-sized investors have been infringed. Therefore, in order to maintain the order of China's securities market and protect the interests of investors. It is of great theoretical and practical significance to study the disclosure of accounting information in the securities market based on the protection of small and medium investors. Firstly, the paper expounds the related theories of information disclosure and investor protection and the relationship between them. Then, through the questionnaire survey, from the perspective of investor protection in China's securities market, this paper analyzes the current situation and existing problems of accounting information disclosure, and through the case of "Green Earth". It is further revealed that the false information disclosure by the listed companies through false means such as false income and profits and related party transactions leads to huge losses to investors. Finally, to learn from the developed countries to protect investors in accounting information disclosure supervision of the advanced experience, "Green Earth" company as a case. In order to protect the small and medium-sized investors, it is proposed to improve the quality of accounting information disclosure by strengthening the internal governance of listed companies and giving full play to the role of external supervision of listed companies.
