【摘要】：正根據(jù)證監(jiān)會(huì)國(guó)際組織(IOSCO)的定義,眾籌融資是指通過互聯(lián)網(wǎng)平臺(tái),從大量的個(gè)人或組織處獲得較少的資金來滿足項(xiàng)目、企業(yè)或個(gè)人資金需求的活動(dòng)。廣義上,眾籌活動(dòng)可區(qū)分為捐贈(zèng)型眾籌、回報(bào)或預(yù)購(gòu)型眾籌、借貸眾籌以及股權(quán)眾籌。在法律適用上,后兩種類型的眾籌融資活動(dòng)成為了證券法關(guān)注的對(duì)象。不過在我國(guó),借貸眾籌模式(典型的就是P2P網(wǎng)絡(luò)貸款)在絕大多數(shù)情況被實(shí)際異化成了影子銀行,表現(xiàn)為一種間接融資活動(dòng),因此只有股權(quán)眾籌(equity-based crowdfunding)才構(gòu)成了受證券法規(guī)制的直接融資活動(dòng)。
[Abstract]:According to the definition of IOSCO , crowdfunding is an activity that obtains less money from a large number of individuals or organizations to meet the needs of projects , enterprises or individuals through the Internet platform . In the broad sense , crowdfunding activities can be classified as donation - based crowdfunding , returns or pre - purchase crowdfunding , lending crowdfunding and equity crowdfunding . In our country , the following two types of crowdfunding activities have become an object of concern for securities laws . However , in our country , lending crowdfunding models ( typically P2P network loans ) are actually differentiated into shadow banks in the majority of cases , showing an indirect financing activity , so only equity crowdfunding is a direct financing activity under the securities regulatory system .
