【摘要】:股權(quán)激勵作為現(xiàn)代企業(yè)激勵機制的創(chuàng)新模式,對企業(yè)經(jīng)濟效益的提升和價值的增加有著重要的促進作用,有利于企業(yè)的穩(wěn)定可持續(xù)發(fā)展。20世紀50年代股權(quán)激勵機制出現(xiàn)在美國,并在80年代逐漸成長起來,90年代風靡全球多個國家和地區(qū),在不同國家、不同區(qū)域、不同行業(yè)和企業(yè)中取得巨大的成功和廣泛應用,很大程度上緩解了企業(yè)與股東、高級管理者、員工之間的委托代理矛盾,為企業(yè)保持活力與競爭力構(gòu)建了良好的發(fā)展環(huán)境和氛圍,較大幅度地提升了企業(yè)績效和市場競爭力。我國股權(quán)激勵體系出現(xiàn)的時間還不長,前期受到本身狀況和經(jīng)驗匱ureaucrats[J].Quarterly Journal of Economics,1998,1樂視網(wǎng)信息技術(北京)股份有限公司,簡稱“樂視網(wǎng)”,2010年8月12日登陸創(chuàng)業(yè)板,目前是我國唯一一家在境內(nèi)上市的視頻網(wǎng)站。主營項目包括互聯(lián)網(wǎng)視頻制作、影視作品制作與發(fā)布,大屏應用產(chǎn)品、智能終端的生產(chǎn)和銷售,是現(xiàn)階段我國最具活力和影響力、科技和文化相融合的創(chuàng)新型企業(yè)。對于樂視網(wǎng)而言,科技與文化發(fā)展的核心源泉是人才,高級管理人員、核心技術人員是公司保持競爭力和創(chuàng)造力的關鍵,是公司實現(xiàn)高效益、高利潤、高效能的重要武器。為了留住上述優(yōu)質(zhì)人力資源,吸引社會更多的潛在人才,樂視網(wǎng)在2013年至2015年陸續(xù)向符合條件的951名核心人才授予股票期權(quán),顯著地提升了公司的績效和綜合競爭力。但是,樂視網(wǎng)在實施股權(quán)激勵機制的過程中,也暴露出分配不均、考核指標不健全、行權(quán)要求設定偏低等問題,對公司下一階段股權(quán)激勵機制的實施帶來一定的阻礙;谏鲜銮闆r,本文對樂視網(wǎng)的股權(quán)激勵模式及效益進行研究,結(jié)合公司近5年財務報告,對三次股權(quán)激勵計劃的影響和作用進行探析。主要的研究思路如下:首先,梳理總結(jié)和股權(quán)激勵模式及效應有關的理論和我國與國外的文獻探究資料,將其當作剖析實例的理論依托;其次,對樂視網(wǎng)股權(quán)激勵方案進行詳細地分析,重點對股權(quán)激勵實施效果進行評價,通過對盈利能力、償債能力、發(fā)展能力、股權(quán)變動等方面數(shù)據(jù)的計算和比較,評價整套股權(quán)激勵效應的優(yōu)點與問題;最后,結(jié)合樂視網(wǎng)股權(quán)激勵實施效應情況,為我國上市公司建立健全股權(quán)激勵機制提供建議。

The equity incentive mechanism appeared in the United States in 50s, and gradually grew up in 80s. It became popular in many countries and regions of the world in different countries in the 1990s. Different regions, different industries and enterprises have achieved great success and wide application, to a large extent, to alleviate the conflict between the enterprise and shareholders, senior managers, employees. For enterprises to maintain vitality and competitiveness to build a good development environment and atmosphere, to a large extent improve the performance of enterprises and market competitiveness. For Letv, the core source of the development of science and technology and culture is talent. Senior management, core technical personnel is the company to maintain competitiveness and creativity, is the company to achieve high efficiency, high profit, high efficiency important weapon. In order to retain the above quality human resources. To attract more potential talent, Letv granted stock options to eligible 951 core talent from 2013 to 2015. Significantly improve the company's performance and comprehensive competitiveness. However, in the implementation of the equity incentive mechanism, Letv net also exposed the problems of uneven distribution, imperfect assessment indicators, low requirements for exercise rights and so on. The implementation of the next stage of the company equity incentive mechanism brings some obstacles. Based on the above situation, this paper studies the equity incentive model and benefits of Letv net, combined with the company financial report in the past five years. The main research ideas are as follows: first, summarize and summarize the theory of equity incentive model and effect, and explore the literature of our country and foreign countries. Regard it as the theoretical support of analyzing examples; Secondly, the paper analyzes the equity incentive scheme of Letv net in detail, focusing on the evaluation of the effect of equity incentive, through the profitability, debt-service ability, development capacity. To evaluate the advantages and problems of the whole set of equity incentive effects by calculating and comparing the data of stock rights change etc. Finally, according to the implementation effect of Letv net equity incentive, some suggestions are provided for the listed companies to establish and improve the equity incentive mechanism.
