【摘要】：從1993年開始我國國有企業(yè)開始建立現(xiàn)代企業(yè)制度,完善國有企業(yè)的治理結(jié)構(gòu)。經(jīng)過十年的改革雖然取得了一些明顯的成效,但是仍有部分國有獨資企業(yè)的治理結(jié)構(gòu)還不完善。為了完善部分國有獨資企業(yè)的治理結(jié)構(gòu),提高國有企業(yè)的市場競爭力,國資委自2004年開始董事會改革試點,至今已經(jīng)過了十余年的時間。當(dāng)前,對于董事會改革成效的評估仍然是學(xué)術(shù)界討論的熱點。從2005年國資委公布第一批試點企業(yè)開始,到2016年底多數(shù)央企均被納入試點范圍,經(jīng)過這十多年的改革歷程,試點央企是否建立了完善有效的董事會制度?董事會改革試點的實施是否促進了企業(yè)經(jīng)營績效的提升?在董事會改革已經(jīng)持續(xù)十二年的今天,對于此政策效果的論證具有重要的現(xiàn)實意義。本文的研究方法注重理論分析與實證分析相結(jié)合的方式,綜合運用規(guī)范性定性研究、實證性定量研究、分組比較分析等方法,在現(xiàn)有理論與案例研究的基礎(chǔ)上深入研究實際問題,以2005-2015年公布的全部試點企業(yè)集團旗下的上市公司的面板數(shù)據(jù)作為研究樣本,對董事會改革試點與試點企業(yè)經(jīng)營績效之間的關(guān)系進行實證研究。第一層次,通過描述性統(tǒng)計分析以及線性回歸模型得出董事會改革對試點企業(yè)的董事會設(shè)置的有利影響。第二層次,運用相關(guān)性分析以及分組比較的方法得出董事會結(jié)構(gòu)設(shè)置與企業(yè)績效的相關(guān)關(guān)系。最后進行第三層次的實證研究,基于第一層次和第二層次的研究結(jié)果,運用雙重差分模型具體分析董事會試點對企業(yè)績效的影響程度。研究結(jié)果表明,董事會試點加速了董事會規(guī)范化和合理化設(shè)置:董事會設(shè)置的優(yōu)化(包括董事會人數(shù)減少、獨立董事比例增加、董事長與總經(jīng)理兩職分離以及專業(yè)委員會的設(shè)立與完善)與試點企業(yè)的績效提高有正向關(guān)系;基于上述邏輯關(guān)系,運用雙重差分模型得出董事會試點的實施最終提高了試點企業(yè)的經(jīng)營績效;試點對企業(yè)績效的提高具有滯后性,試點企業(yè)需要一定的時間對董事會進行完善,在試點當(dāng)年并沒有績效的提高,而隨著時間的發(fā)展,試點效果逐漸凸顯出來;在控制了行業(yè)類別的情況下,董事會試點所帶來的政策效果更加明顯。
[Abstract]:Since 1993, the state-owned enterprises of our country began to establish the modern enterprise system, perfect the management structure of the state-owned enterprises. After ten years of reform, although some obvious achievements have been made, there are still some state-owned enterprises with imperfect governance structure. In order to improve the governance structure of some wholly state-owned enterprises and improve the market competitiveness of state-owned enterprises, SASAC has started the pilot reform of the board of directors since 2004, and it has been more than ten years since then. At present, the evaluation of the effectiveness of board reform is still a hot topic in academic circles. Since the SASAC announced the first batch of pilot enterprises in 2005, by the end of 2016, most of the central enterprises have been included in the scope of the pilot. After more than 10 years of reform, has the pilot set up a perfect and effective board of directors system? Does the implementation of the board of directors reform pilot promote the improvement of business performance? Today, the reform of the board of directors has lasted for 12 years, the demonstration of the effect of this policy has important practical significance. The research methods of this paper focus on the combination of theoretical analysis and empirical analysis, and make comprehensive use of normative qualitative research, empirical quantitative research, grouping comparative analysis and so on. Based on the existing theories and case studies, the panel data of all listed companies under the pilot enterprise groups published from 2005 to 2015 are taken as the research samples. This paper makes an empirical study on the relationship between the pilot reform of the board of directors and the operating performance of the pilot enterprises. In the first level, through descriptive statistical analysis and linear regression model, the beneficial effect of board reform on the establishment of board of directors of pilot enterprises is obtained. In the second level, the relationship between the structure of the board of directors and the performance of the firm is obtained by using the method of correlation analysis and grouping comparison. Finally, the third level of empirical research, based on the first and second levels of research results, using the dual difference model to analyze the impact of the board of directors on corporate performance. The results show that the board pilot accelerates the standardization and rationalization of the board of directors: the optimization of the board setting (including the decrease in the number of board members, the increase in the proportion of independent directors), The separation of the chairman from the general manager and the establishment and perfection of the professional committee) have positive relationship with the performance improvement of the pilot enterprise. The double difference model is used to conclude that the implementation of the board of directors pilot ultimately improves the operating performance of the pilot enterprise; the pilot project has a lag in improving the performance of the enterprise, and the pilot enterprise needs a certain time to improve the board of directors. In the year of the pilot there is no improvement of performance, but with the development of time, the effect of the pilot is gradually prominent; in the case of controlling the industry category, the policy effect brought by the board of directors pilot is more obvious.
