承包商海外基礎(chǔ)設(shè)施PPP項(xiàng)目契約治理能力研究

【摘要】:在“走出去”和“一帶一路”國家政策的引導(dǎo)下,我國越來越多的承包商走出國門,積極開辟海外建筑市場。同時(shí),為了延長企業(yè)利潤鏈,打造長久穩(wěn)定的盈利模式,深入開拓并耕耘海外工程市場,承包商逐漸將視野轉(zhuǎn)向PPP模式。海外基礎(chǔ)設(shè)施PPP項(xiàng)目本身有資金需求大、契約關(guān)系復(fù)雜、契約主體眾多、項(xiàng)目周期長的特點(diǎn),對(duì)承包商的融資能力、抗風(fēng)險(xiǎn)能力都有極高的要求。在這種情況下,承包商需要合理地運(yùn)用契約治理工具對(duì)PPP項(xiàng)目展開治理,才能緩解開展海外PPP項(xiàng)目時(shí)面臨的種種困境,提升項(xiàng)目績效,進(jìn)而保障PPP項(xiàng)目的順利開展。本文首先介紹了論文的研究背景和研究意義,從契約理論、項(xiàng)目治理理論、契約治理理論分別梳理了國內(nèi)外相關(guān)研究成果,為本文的深入研究提供基礎(chǔ)。然后,本文介紹了 PPP的概念、基礎(chǔ)設(shè)施的概念與PPP項(xiàng)目契約治理的內(nèi)涵,并對(duì)承包商的契約治理能力進(jìn)行了定義,并介紹了本文的理論基礎(chǔ)。之后,本文從海外基礎(chǔ)設(shè)施PPP項(xiàng)目開展現(xiàn)狀入手,分析了我國承包商開展海外基礎(chǔ)設(shè)施PPP項(xiàng)目的困境,并從中挖掘造成這些困境的契約治理問題,并結(jié)合相關(guān)學(xué)者的研究,提出運(yùn)用正式契約治理、關(guān)系契約治理以及剩余權(quán)利的配置三種工具來解決契約治理問題,從而提升承包商對(duì)PPP項(xiàng)目的契約治理能力。在分析契約治理能力的影響因素時(shí),本文從外部、內(nèi)部兩個(gè)維度入手,首先通過文獻(xiàn)梳理和問卷調(diào)查,運(yùn)用Matlab和SPSS定量分析影響PPP項(xiàng)目開展的核心外部性因素,這些外部性因素將間接影響契約治理能力,之后利用AMOS軟件建立SEM模型,從項(xiàng)目內(nèi)部維度入手,分析契約治理能力的內(nèi)部影響因素。最后,本文綜合內(nèi)外部維度,提出提升我國承包商海外基礎(chǔ)設(shè)施PPP項(xiàng)目契約治理能力的若干建議。通過研究本文發(fā)現(xiàn),東道國的扶持與幫助、PPP項(xiàng)目相關(guān)的法律與監(jiān)管體系、東道國政府主權(quán)信用評(píng)級(jí)、金融市場開放程度、項(xiàng)目盈利模式為影響海外PPP項(xiàng)目開展的核心外部性因素,做好這些方面的市場調(diào)研是保障海外基礎(chǔ)設(shè)施PPP項(xiàng)目順利開展、提升承包商契約治理能力的基礎(chǔ)。而項(xiàng)目控制權(quán)配置、融資方案設(shè)計(jì)、風(fēng)險(xiǎn)分擔(dān)機(jī)制等8個(gè)因素將從正式契約治理角度影響承包商契約治理能力;公私雙方間信任水平、契約主體間的合作歷史等3個(gè)因素將從關(guān)系契約治理角度影響承包商契約治理能力;股權(quán)比例、原始收益方案等4個(gè)因素將從剩余權(quán)利配置角度影響承包商契約治理能力。
[Abstract]:Under the guidance of the national policies of "going out" and "Belt and Road", more and more contractors in our country go abroad and actively open up the overseas construction market. At the same time, in order to prolong the profit chain of enterprises and create a long-term and stable profit model, In order to further develop and cultivate the overseas engineering market, the contractor has gradually turned to the PPP mode. The overseas infrastructure PPP project itself has the characteristics of large capital demand, complicated contractual relationship, numerous contract subjects and long project cycle. In this case, the contractor needs to use the contract governance tools to manage the PPP project reasonably, in order to alleviate the difficulties that the contractor faces when carrying out the overseas PPP project, there are very high requirements for the contractor's financing ability and the ability to resist risks. First of all, this paper introduces the research background and significance of the paper, from the contract theory, project governance theory, contract governance theory respectively combing the relevant research results at home and abroad. Then, this paper introduces the concept of PPP, the concept of infrastructure and the connotation of contract governance of PPP project, and defines the contractor's ability of contract governance. After introducing the theoretical basis of this paper, this paper starts with the current situation of overseas infrastructure PPP projects, analyzes the plight of Chinese contractors to carry out overseas infrastructure PPP projects, and excavates the contractual governance problems that cause these difficulties. Combined with the research of relevant scholars, this paper puts forward the use of formal contract governance, relationship contract governance and the allocation of residual rights to solve the problem of contract governance. In order to improve the contractor's contractual governance ability to the PPP project. In the analysis of the factors affecting the contractual governance ability, this paper starts from the external and internal two dimensions, first through literature combing and questionnaire survey, Using Matlab and SPSS to quantitatively analyze the core externalities that affect the development of PPP projects, these externalities will indirectly affect the ability of contract governance, and then use AMOS software to establish SEM model, starting with the internal dimensions of the project. Finally, this paper synthesizes the internal and external dimensions, and puts forward some suggestions on how to improve the contractual governance ability of overseas infrastructure PPP projects of Chinese contractors. The legal and regulatory system related to the support of the host country, the sovereign credit rating of the host government, the openness of the financial market, and the profit model of the project are the core externalities affecting the overseas PPP projects. Market research in these areas is the basis for ensuring the smooth development of overseas infrastructure PPP projects and enhancing the contractor's ability to manage contracts. The allocation of project control rights and the design of financing schemes, Eight factors, such as risk-sharing mechanism, will affect the contractor's ability of contract governance from the perspective of formal contract governance; the level of trust between public and private parties, Three factors, such as the history of cooperation among the contract subjects, will affect the contractor's ability to govern the contract from the angle of the governance of the relationship contract, and four factors, the equity ratio and the original income scheme, will affect the contractor's ability to govern the contract from the perspective of the allocation of residual rights.
