【摘要】：由于上市公司退市具有影響面廣、投資者人數(shù)眾多、造成損失巨大等特點,所以對上市公司退市的投資者權(quán)益的保護,值得各方關(guān)注。我國證券市場主要以散戶為主體,廣大中小投資者是證券市場的主要投資者,同時在資金數(shù)量、信息渠道方面又相對處于弱勢。在我國上市公司連續(xù)虧損而退市的案例中,相當(dāng)大一部分是由于內(nèi)部人控制和大股東掏空上市公司造成的,中小投資者在公司的經(jīng)營和決策上往往處于無助和無奈的地位,不但要承擔(dān)市場的價格風(fēng)險,而且還要額外承擔(dān)企業(yè)的不當(dāng)經(jīng)營風(fēng)險和財務(wù)不實風(fēng)險。為了切實保護中小投資者的合法權(quán)益,要做好配套制度的設(shè)計和安排,當(dāng)前要加快建立證券市場的投資者補償基金制度。退市制度的核心是保護廣大中小投資者利益,監(jiān)管部門應(yīng)盡快推出退市問責(zé)補償機制,讓哪些不符合上市條件的公司及時有序退市,從股市源頭上就保證上市公司質(zhì)量,讓價值投資擁有堅實的基礎(chǔ),加快建立符合市場經(jīng)濟發(fā)展要求、具有中國特色的上市公司退市補償制度,提高上市公司整體質(zhì)量,形成有進有出、扶優(yōu)汰劣、動態(tài)平衡的市場競爭格局。要實現(xiàn)這個目標(biāo),必須在現(xiàn)有退市制度外,設(shè)立證券投資者專項保護基金、補償基金等制度。本文共分為四個部分：第一部分緒論,介紹論文研究的背景、意義和目標(biāo)。第二部分我國上市公司退市及補償制度概述,介紹了上市公司退市制度的內(nèi)涵,我國上市公司退市制度的發(fā)展歷程及存在問題,從而引出了建立上市公司退市補償制度的必要性。第三部分萬福生科案例分析,重點介紹了2013年萬福生科因虛假陳述行為而造成投資者損失的案例,開創(chuàng)了A股市場自成立以來投資者損失由保薦機構(gòu)先行賠付再向相關(guān)責(zé)任方追償?shù)南群?是中國資本市場利用市場化機制補償投資者損失邁出的第一步,為推動建立多元補償機制作出了重要探索。第四部分國外成熟證券市場退市補償制度基本經(jīng)驗,重點介紹了國外上市公司的退市標(biāo)準(zhǔn)及退市補償制度,特別是美國設(shè)立的公平基金制度,值得我們學(xué)習(xí)借鑒。第五部分提出我國建立上市公司退市補償制度的初步思路與建議,將補償基金作為保護基金的一個重要補充,進一步明確了補償?shù)臈l件、范圍、標(biāo)準(zhǔn),以及補償基金的來源、用途和支付,使補償資金制度具有較強的操作性。
[Abstract]:Due to the delisting of listed companies has a wide influence, the large number of investors, causing huge losses and other characteristics, so the protection of the rights and interests of investors of listed companies delisting, worthy of attention. China's stock market mainly takes retail as the main body, the majority of small and medium investors are the main investors in the stock market, while the number of funds, information channels and the relatively disadvantaged. In China's listed companies for losses delisting case, a large part is due to the internal control and the tunneling of large shareholders caused by small investors, often in a helpless and helpless position in the company's management and decision-making, not only to bear the market price risk, but also bear the extra the improper business risk and financial risk is not real. In order to effectively protect the legitimate rights and interests of small investors, to complete the system design and arrangement, when To accelerate the establishment of a stock market investor compensation fund system. The core of the delisting system is to protect the interests of investors, regulators should be introduced as soon as possible delisting accountability compensation mechanism, which does not meet the conditions listed companies delisting timely and orderly, ensure the quality of listed companies from the stock market source, so that the value of investment has a solid foundation. Accelerate the establishment conforms to the requirements of the development of market economy, listed companies delisting compensation system has China characteristics, improve the overall quality of listed companies, into a form of a market competition pattern, supporting the superior and eliminating the inferior, dynamic balance. To achieve this goal, we must in the existing delisting system, the establishment of securities investor protection fund special, compensation fund system. This paper is divided into four parts: the first part is the introduction, introduces the research background, meaning and purpose. The second part of China's listed companies delisting Overview and compensation system, this paper introduces the connotation of delisting system of listed companies, the development process of delisting system of listed company of our country and the existing problems, which leads to the necessity of establishing the compensation system of delisting system of listed companies. We have to learn from. Put forward the preliminary ideas and suggestions of establishing the compensation system of delisting system of Listed Companies in our country the fifth part, the compensation fund as an important supplementary protection fund, to further clarify the compensation condition, scope, standard, as well as the source of compensation funds, use and payment of compensation funds, the system has stronger operation.
