地域特點、政策構(gòu)建和股權(quán)激勵——基于長株潭自主創(chuàng)新示范區(qū)高層次人才股權(quán)激勵政策的研究

【摘要】:地域特點、政策構(gòu)建和創(chuàng)業(yè)激勵具有內(nèi)在的關(guān)聯(lián)。長株潭自主創(chuàng)新示范區(qū)高層次人才股權(quán)激勵政策在適用企業(yè)及激勵對象范圍、激勵方式和條件、激勵方案的擬定流程和國內(nèi)其他國家自主創(chuàng)新示范區(qū)大體相似,但是在母公司負(fù)責(zé)人可參與子公司股權(quán)激勵、獎勵股份來源及限額、土地轉(zhuǎn)讓增值利潤不納入凈資產(chǎn)增值額、知識產(chǎn)權(quán)和科技成果作價入股方面有了政策的新突破。長株潭高層次人才股權(quán)激勵政策實施方面還存在高新技術(shù)企業(yè)認(rèn)定滯后、已實施股權(quán)激勵企業(yè)數(shù)量少、激勵有效期限較短、激勵對象覆蓋面小、激勵指標(biāo)不合理等問題。為此,須從高新技術(shù)企業(yè)認(rèn)定、調(diào)整激勵幅度、激勵考核標(biāo)準(zhǔn)的確定、設(shè)定激勵期限、明確激勵對象、設(shè)立股權(quán)激勵專項資金、強化股權(quán)激勵監(jiān)督入手改進(jìn)相關(guān)政策。
[Abstract]:Regional characteristics, policy construction and entrepreneurial incentives have an inherent relationship. In Changsha-Zhuzhou-Xiangtan independent innovation demonstration area, the incentive policy for high-level talents is similar to other domestic independent innovation demonstration areas in terms of the scope of enterprises and incentive objects, incentive methods and conditions, and the process of drawing up incentive schemes. But in the parent company responsible person can participate in the subsidiary equity incentive, rewards the stock source and the quota, the land transfer increment profit does not include the net assets increment amount, the intellectual property right and the science and technology achievement price to buy the stock aspect to have the new breakthrough. There are still some problems in the implementation of the stock right incentive policy for high-level talents in Changsha-Zhuzhou-Xiangtan, such as the low number of enterprises that have implemented equity incentive, the short duration of incentive, the small coverage of incentive object, the unreasonable incentive index and so on. Therefore, it is necessary to adjust the incentive range, determine the standard of incentive assessment, set the incentive time limit, define the incentive object, set up the special fund for equity incentive, and strengthen the supervision of equity incentive to improve the relevant policies.
