【摘要】：土地承包經(jīng)營權(quán)入股是一個(gè)歷史性問題,也是新時(shí)代農(nóng)業(yè)發(fā)展所面臨的課題。隨著黨中央有關(guān)土地改革新政策的出臺(tái),各個(gè)地區(qū)正在積極試點(diǎn)、探索創(chuàng)新土地承包經(jīng)營權(quán)入股各種組織形式,以期在市場經(jīng)濟(jì)模式下實(shí)現(xiàn)土地承包經(jīng)營權(quán)的收益最大化。目前,在一些試點(diǎn)地區(qū),盤活土地承包經(jīng)營權(quán),提高農(nóng)民的收益,已取得了良好成效。然而,在這些組織因諸種風(fēng)險(xiǎn)面臨破產(chǎn)清算時(shí),如何處理農(nóng)戶股東入股的土地承包經(jīng)營權(quán)是一個(gè)亟待解決的問題。因?yàn)橥恋爻邪?jīng)營權(quán)在中國現(xiàn)階段的基本國情下兼具財(cái)產(chǎn)性價(jià)值和社會(huì)性價(jià)值,這就決定了土地承包經(jīng)營權(quán)益與農(nóng)戶股東的生存保障存在千絲萬縷的聯(lián)系,甚至是部分農(nóng)戶股東唯一的生活收入來源,所以土地承包經(jīng)營權(quán)不能隨意進(jìn)行市場化流轉(zhuǎn)。現(xiàn)有實(shí)踐的做法——將土地承包經(jīng)營權(quán)歸還農(nóng)戶股東,具有合理性,有其存在價(jià)值,但是這并不利于未來土地承包經(jīng)營權(quán)的流轉(zhuǎn)。而學(xué)者們的研究大多停留在土地承包經(jīng)營權(quán)入股及其入股何種組織形式的階段,對入股后破產(chǎn)清算階段的處理模式還缺乏針對性研究。因此,筆者采用了價(jià)值分析法、比較分析法等研究方法,試通過對土地承包經(jīng)營權(quán)入股的法理、實(shí)踐模式進(jìn)行梳理,依破產(chǎn)清算階段土地承包經(jīng)營權(quán)的特殊性明確土地承包經(jīng)營權(quán)在破產(chǎn)清算中流轉(zhuǎn)的基本原則、處理模式等。論文的正文分為五大部分： 第一部分：土地承包經(jīng)營權(quán)入股及其在破產(chǎn)清算中的法律屬性。本部分簡要闡述了土地承包經(jīng)營權(quán)入股的合理性、合法性得出承包經(jīng)營權(quán)入股的法理基礎(chǔ),結(jié)合目前各地試點(diǎn)的實(shí)踐模式,來明確土地承包經(jīng)營權(quán)入股是現(xiàn)階段經(jīng)濟(jì)社會(huì)發(fā)展的必然要求。 第二部分：土地承包經(jīng)營權(quán)在破產(chǎn)清算中的法律屬性。本部分主要界定了土地承包經(jīng)營權(quán)在入股企業(yè)后,在企業(yè)面臨破產(chǎn)清算時(shí),土地承包經(jīng)營權(quán)的法律關(guān)系。通過土地承包經(jīng)營權(quán)特定的法律屬性來探尋其破產(chǎn)清算中須兼顧的價(jià)值。 第三部分：土地承包經(jīng)營權(quán)在破產(chǎn)清算中的特殊性和利益沖突。本部分通過將土地承包經(jīng)營權(quán)與一般破產(chǎn)財(cái)產(chǎn)進(jìn)行比較,以及土地承包經(jīng)營權(quán)的本身的雙重屬性(財(cái)產(chǎn)性和社會(huì)性)得出破產(chǎn)清算中土地承包經(jīng)營權(quán)的特殊性及易產(chǎn)生的利益沖突。這些利益沖突主要包括企業(yè)內(nèi)部的利益沖突和外部的利益沖突,沖突的平衡依賴于統(tǒng)一的市場化運(yùn)營模式的形成,而現(xiàn)階段只能追求在基本國情基礎(chǔ)之上最大的公平。 第四部分：土地承包經(jīng)營權(quán)在破產(chǎn)清算中的處理原則。本部分闡述了土地承包經(jīng)營權(quán)在破產(chǎn)清算中流轉(zhuǎn)的三大基本原則：土地承包經(jīng)營權(quán)的社會(huì)價(jià)值優(yōu)先、土地承包經(jīng)營權(quán)流轉(zhuǎn)的整體性、土地承包經(jīng)營權(quán)人自主經(jīng)營的相對性原則。這三大基本原則是基于現(xiàn)有基本國情得出的,只有嚴(yán)格遵循之,才能兼顧清算中各方利益主體的最大權(quán)益。 第五部分：土地承包經(jīng)營權(quán)在破產(chǎn)清算中的處理方式。本部分依據(jù)各地區(qū)農(nóng)戶對土地的依賴程度分三類區(qū)別對待土地承包經(jīng)營權(quán)在清算中的移轉(zhuǎn),即完全依賴土地生存型、不完全依賴土地生存型和完全不依賴土地生存型。對于第一種,大多入股“股份合作社”,此時(shí)可限制土地承包經(jīng)營權(quán)的流轉(zhuǎn),輔之以完善農(nóng)村的社會(huì)保障機(jī)制、強(qiáng)化地方政府“引導(dǎo)者”的作用。對于第二種兼有“股份合作社”和“有限責(zé)任公司”兩種組織形式,對此我們可以構(gòu)建部分土地的承包經(jīng)營權(quán)流轉(zhuǎn),并配套以相關(guān)農(nóng)業(yè)保險(xiǎn)制度。對于第三種完全市場化的流轉(zhuǎn),仍需要遵循我國現(xiàn)階段糧食生產(chǎn)安全戰(zhàn)略的要求,嚴(yán)守耕地保護(hù)紅線,即在流轉(zhuǎn)過程中不改變土地用途、完善政府及相關(guān)組織的監(jiān)管規(guī)范機(jī)制、對債權(quán)人再流轉(zhuǎn)土地承包經(jīng)營權(quán)。
[Abstract]:With the introduction of the new policy of land reform in the Central Committee of the Communist Party of China , it is a matter of urgent need to deal with the right of land contracting management . However , in some pilot areas , it is not beneficial to the transfer of land contract management right . The first part : This part briefly expounds the rationality and legality of the right to contract management right in the land contracting management right and the legal basis of the contract management right , and combines with the practice mode of the pilot practice in various localities , so as to clarify the necessity of the economic and social development at present .

The second part : the legal attribute of the right of land contract management in the liquidation of bankruptcy . This part mainly defines the legal relation of land contracting management right after entering the stock enterprise .

The third part : The particularity of the land contract management right in the liquidation of the bankruptcy and the conflict of interest . This part concludes the particularity of the land contract management right and the conflict of interest in the bankruptcy liquidation by comparing the land contracting business right with the general bankrupt property , and the double property ( property and social property ) of the land contract management right . These conflicts of interest mainly include the conflict of interest inside the enterprise and the conflict of interest outside , and the balance of the conflict depends on the formation of the unified marketing operation mode , and the maximum fairness on the basis of the basic national conditions can only be pursued at this stage .

The fourth part : the principle of the management right of land contract in the liquidation of bankruptcy . This part describes the three basic principles of the transfer of land contract management right in bankruptcy liquidation : the social value priority of land contract management right , the integrity of land contract management right transfer , the relativity principle of land contract management right person ' s autonomy .

Part V : The way to deal with the land contract management right in the liquidation of bankruptcy . In this part , the transfer of land contract management right in liquidation is divided into three categories according to the dependence degree of farmers in each area .
