論上市公司社會責(zé)任及實現(xiàn)機制
[Abstract]:The so-called corporate social responsibility refers to the obligation of the company to safeguard and promote the social interests in addition to the maximization of shareholders' interests. Corporate social responsibility (CSR) is a hot issue concerned by corporate managers, shareholders, social circles, corporate law scholars and legislators in the world. From the external point of view, whether by management, business and economics, social psychology, sociology and ethics, corporate social responsibility is a hot topic. From the internal point of view, corporate law has always been the most important part of commercial law and even private law. The study of corporate social responsibility is not only the requirement of explaining the principle of company, but also a hot spot of private law philosophy. In addition, corporate social responsibility is still a new topic that the traditional corporate law theory needs to respond to in corporate social practice. This paper makes some research and induction on the idea of social responsibility and some problems existing in the social responsibility of listed companies, hoping to help to promote the implementation of social responsibility of listed companies. In addition to the introduction and conclusion, the article mainly discusses this issue from three chapters. The first part combs the development history of corporate social responsibility. From the background and main theory of corporate social responsibility, we can see that the emergence of corporate social responsibility is the inevitable result of economic development, while the company has made historical contributions to the social and economic development. The theorists also began to reflect on the negative effects of this system. At the same time, it introduces several representative views on the theory of corporate social responsibility in different historical periods. The second part analyzes the legitimacy of corporate social responsibility from modern corporate theory, and expounds the author's understanding of this theory. This paper expounds the legitimacy of corporate social responsibility theory from three aspects: contract nature, ownership distribution and responsibility assumption. At the same time, it emphasizes that the theory of social responsibility has its own background. The third part is the key of this paper. The problems and realization mechanism of social responsibility of listed companies are discussed, and the problems of employee rights protection, consumer interests, creditors' rights and interests, environment and public welfare undertakings are emphasized. And the author provides some suggestions for improvement.
