【摘要】： 本文運(yùn)用比較法學(xué)等多種研究方法，對(duì)公司設(shè)立登記法律制度相關(guān)問題進(jìn)行研究和分析。全文共分五部分，約三萬余字。 第一部分，對(duì)公司設(shè)立登記的一般法律屬性及其本質(zhì)進(jìn)行分析。從商事登記法律制度的起源和發(fā)展過程入手，結(jié)合對(duì)公司設(shè)立登記主體、相關(guān)行政法理論及各國公司和公司登記實(shí)踐等方面的考察，認(rèn)為公司設(shè)立登記是公法行為，在我國則是登記機(jī)關(guān)的一種行政行為。進(jìn)而在第二部分，分別從行政法、民商法意義上分析公司設(shè)立登記的法律效力，指出：在行政法意義上，公司設(shè)立登記作為行政行為，其效力同樣表現(xiàn)為公定力、確定力、拘束力和執(zhí)行力；在民商法意義上，公司設(shè)立登記的效力表現(xiàn)為創(chuàng)設(shè)效力、公示效力和彌補(bǔ)效力三個(gè)方面。 第三部分，對(duì)公司設(shè)立登記事項(xiàng)、登記程序中若干問題，包括登記審查制度、審查內(nèi)容及公司名稱的預(yù)先核準(zhǔn)進(jìn)行分析。第四部分，結(jié)合對(duì)公司設(shè)立原則及其歷史演變的考察，分析公司設(shè)立登記法律制度的價(jià)值取向，指出其基本價(jià)值取向在于：保障交易安全、提高交易效益。 第五部分，在前文基礎(chǔ)上，就我國公司設(shè)立登記法律制度在立法形式、價(jià)值取向、相關(guān)法律文件的內(nèi)容等方面存在的問題和缺陷進(jìn)行探討，并提出完善我國公司設(shè)立登記法律制度的建議：在立法體例的選擇方面，公司登記立法應(yīng)采取系統(tǒng)化立法模式，，以期達(dá)到公司設(shè)立登記立法的系統(tǒng)化目的；在價(jià)值取向的選擇方面，在注重安全的同時(shí)，更應(yīng)突出效益；在具體 制度的構(gòu)建方面，要緊緊圍繞公司設(shè)立登記法律制度的價(jià)值取向，結(jié)合我 國公司登記立法和登記工作實(shí)踐，加強(qiáng)對(duì)登記機(jī)關(guān)的職責(zé)規(guī)制、完善登記 程序和公司名稱登記制度、登記簿和相關(guān)文件的管理使用制度，以及與登 記有關(guān)的爭(zhēng)訴處理制度。
[Abstract]:In this paper, comparative law and other research methods are used to study and analyze the problems related to the legal system of company establishment registration. The full text is divided into five parts, about 30,000 words. The first part analyzes the general legal attribute and essence of company establishment registration. Starting with the origin and development of the legal system of commercial registration, combining with the investigation of the subject of company registration, the theory of administrative law and the practice of company and company registration in various countries, the author thinks that the establishment of company registration is an act of public law. In our country, it is a kind of administrative behavior of the registration authority. Then, in the second part, the author analyzes the legal effect of company establishment registration in the sense of administrative law and civil and commercial law, and points out that in the sense of administrative law, the company establishment registration, as an administrative act, has the same effect as public determination and certainty. In the sense of civil and commercial law, the effectiveness of company establishment registration is manifested in three aspects: creating effect, publicizing effect and making up effect. The third part analyzes some problems in the registration procedure, including the registration examination system, the contents of the examination and the pre-approval of the company name. In the fourth part, the author analyzes the value orientation of the legal system of company establishment registration and points out that the basic value orientation of the legal system is to ensure the safety of the transaction and to improve the efficiency of the transaction. The fifth part, on the basis of the above, discusses the problems and defects in the legislative form, the value orientation, the content of the relevant legal documents and so on. It also puts forward some suggestions to perfect the legal system of company establishment registration in our country: in the choice of legislative style, the legislation of company registration should adopt a systematic legislative model in order to achieve the purpose of systematization of legislation of company establishment and registration; In the choice of value orientation, we should pay more attention to safety and benefit; In the construction of the specific system, we should focus on the value orientation of the legal system of company registration. Combining our country's company registration legislation and registration practice, we should strengthen the regulation of the duties and responsibilities of the registration authorities, To improve the registration procedures and the registration system of company names, the management and use of registration books and related documents, And the system of handling disputes related to the record.
