【摘要】： 空白支票作為一種特殊的票據(jù),是商品經(jīng)濟(jì)的產(chǎn)物,隨商品經(jīng)濟(jì)的產(chǎn)生而出現(xiàn),又隨著商品經(jīng)濟(jì)的發(fā)展而不斷發(fā)展。作為一種替代貨幣的信用工具,其在加快交易速度、方便支付、增加商業(yè)交易便捷性等方面有著突出作用�？瞻字敝贫仍谖覈�(guó)包涵在票據(jù)法律制度內(nèi),作為商法的重要組成部分,其中的原理與規(guī)范都體現(xiàn)著對(duì)效率的孜孜追求。因此,從經(jīng)濟(jì)學(xué)角度來(lái)分析和研究空白支票制度,是其作為商法之一的必然要求。 法經(jīng)濟(jì)學(xué)的產(chǎn)生為我們提供了一個(gè)與傳統(tǒng)法學(xué)分析不同的研究方向,其核心思想在于,所有的法律活動(dòng)都要以效率的最大化為目的,因此,所有的法律活動(dòng)都可以用經(jīng)濟(jì)的方法來(lái)進(jìn)行分析。 本文運(yùn)用法律經(jīng)濟(jì)分析方法,從宏觀與微觀兩個(gè)方面對(duì)空白支票運(yùn)行過(guò)程中的成本與收益進(jìn)行了分析；并在此基礎(chǔ)上對(duì)空白支票法律制度的成本與收益進(jìn)行了分析。運(yùn)用制度變遷理論對(duì)我國(guó)票據(jù)法律制度以及空白支票制度的產(chǎn)生與發(fā)展進(jìn)行了制度分析,并以此為基礎(chǔ),對(duì)空白支票制度中在學(xué)界存在爭(zhēng)議的一些問(wèn)題闡述了筆者自己的觀點(diǎn)；最后,運(yùn)用博弈論對(duì)空白支票的出票人與持票人進(jìn)行分析,結(jié)合制度分析理論,分析我國(guó)法律在規(guī)范空白支票當(dāng)事人的法律責(zé)任方面是否存在不足。 全文分為六個(gè)部分,主要內(nèi)容如下： 第一部分導(dǎo)言,介紹本文的選題背景、本文研究?jī)?nèi)容的范圍及分析方法。 第二部分相關(guān)文獻(xiàn)及研究綜述,這一部分先介紹了法經(jīng)濟(jì)學(xué)的理論發(fā)展及對(duì)于傳統(tǒng)法律分析的貢獻(xiàn)；同時(shí)對(duì)本文的理論基礎(chǔ)和相關(guān)概念進(jìn)行了闡述,為下文進(jìn)一步分析奠定基礎(chǔ)。然后從歷史的角度對(duì)票據(jù)與票據(jù)法律制度的發(fā)展、支票的發(fā)展現(xiàn)狀進(jìn)行了簡(jiǎn)單介紹。通過(guò)對(duì)空白支票相關(guān)文獻(xiàn)綜述的梳理表明,目前學(xué)界從法經(jīng)濟(jì)學(xué)角度研究空白支票制度并不多見(jiàn)。 第三部分空白支票的成本與收益分析,這部分從宏觀與微觀兩方面,分析了空白支票在運(yùn)行過(guò)程中,社會(huì)、出票人、持票人三者的成本與收益。同時(shí),對(duì)空白支票法律制度的成本與收益也進(jìn)行了一定的闡述。 第四部分空白支票的制度分析,這部分簡(jiǎn)單介紹了制度的內(nèi)涵、制度變遷的相關(guān)理論；以誘致性制度變遷模型分析我國(guó)票據(jù)法律制度及空白支票制度的發(fā)展與變遷；運(yùn)用制度變遷的路徑依賴?yán)碚?分析我國(guó)空白支票制度相關(guān)法規(guī)、規(guī)章出現(xiàn)的合理性；最后結(jié)合強(qiáng)制性制度變遷理論,分析我國(guó)的空白支票制度在空白補(bǔ)充權(quán)限制方面的合理性。 第五部分空白支票法律責(zé)任的博弈分析,這部分先對(duì)空白支票當(dāng)事人進(jìn)行博弈分析,結(jié)合目前我國(guó)有關(guān)空白支票法律責(zé)任的規(guī)定,分析現(xiàn)存制度的合理性。 第六部分相關(guān)政策建議與研究展望,此部分筆者談了幾點(diǎn)針對(duì)我國(guó)有關(guān)空白支票的法規(guī)和法律責(zé)任方面司法解釋的修改意見(jiàn)。
[Abstract]:Blank check, as a special kind of bill, is the product of commodity economy, which appears with the emergence of commodity economy and develops continuously with the development of commodity economy. As a credit tool to replace currency, it plays a prominent role in quickening the transaction speed, facilitating payment and increasing the commercial transaction convenience. Blank cheque system is contained in the legal system of bill in our country. As an important part of commercial law, the principle and standard of blank check system embody the pursuit of efficiency. Therefore, it is an inevitable requirement of commercial law to analyze and study blank check system from the angle of economics. The emergence of law and economics provides us with a different research direction from traditional law analysis. Its core idea is that all legal activities should aim at maximizing efficiency. All legal activities can be analysed in an economic way. Using the method of legal economic analysis, this paper analyzes the costs and benefits of blank cheques in the process of operation from macro and micro aspects, and on this basis, analyzes the costs and benefits of the legal system of blank cheques. Based on the analysis of the emergence and development of our country's bill legal system and blank cheque system, the author expounds the author's own views on some controversial issues in the blank cheque system. Finally, using game theory to analyze the issuers and holders of blank cheques, combined with the theory of institutional analysis, to analyze whether there are deficiencies in the legal liability of the parties to blank cheques in our country's laws. The paper is divided into six parts. The main contents are as follows: the first part introduces the background of this paper, the scope of this study and the analysis methods. The second part introduces the theoretical development of law and economics and its contribution to the traditional legal analysis. At the same time, it expounds the theoretical basis and related concepts of this paper. Lay the foundation for further analysis below. Then from the historical point of view, the paper briefly introduces the development of bill and bill legal system and the status quo of cheque. Through the review of the relevant literature on blank cheque, it is shown that there are few scholars studying blank cheque system from the point of view of law and economics. The third part is the cost and income analysis of blank check. This part analyzes the cost and income of blank check in the process of operation, society, drawer and holder from macro and micro aspects. At the same time, the cost and benefit of blank check legal system are also expounded. The fourth part is the institutional analysis of blank cheques, which briefly introduces the connotation of the system and the relevant theories of institutional changes, and analyzes the development and changes of the legal system of bill and blank check system in China by the model of induced institutional change. By using the path dependence theory of institutional change, this paper analyzes the rationality of relevant regulations and rules of blank cheque system in China. Finally, combining with the theory of mandatory institutional change, This paper analyzes the rationality of blank check system in the limitation of blank supplementary right. The fifth part is the game analysis of the legal liability of blank cheques. In this part, the author analyzes the rationality of the existing system by the game analysis of the parties concerned with blank cheques, combined with the current provisions on the legal liability of blank cheques in our country. In the sixth part, the author makes some suggestions on the revision of the judicial interpretation of blank cheques in China.
