國際集裝箱班輪艙位租用合同研究

【摘要】:在國際集裝箱班輪運輸業(yè)務(wù)中存在著一種艙位租用合同,它是指經(jīng)營班輪的船東(艙位出租人)將船上可運載集裝箱的艙位出租給他方使用,艙位承租人通過租用艙位在一定時期內(nèi)獲得穩(wěn)定的貨運艙容,再將所攬到的貨物交給艙位出租人運輸,而向出租人支付艙位租金的合同。由于這種合同在我國《海商法》中沒有相應(yīng)的規(guī)定,合同的性質(zhì)、合同雙方各自的地位和權(quán)利以及如何適用法律就成為令人困惑的問題。為明確以上問題,本文從以下四個方面展開了討論。 本文第1章是關(guān)于國際集裝箱班輪艙位租用合同的基本問題,主要介紹了艙位和艙位租用的概念、艙位租用的產(chǎn)生和形式、艙位租用合同雙方的資格和艙位租用合同范本簡述。第2章作為本文的核心部分,研究了艙位租用合同的性質(zhì),筆者將艙位租用合同與班輪運輸合同、航次租船合同和定期租船合同逐一進行比較,探究后三種合同之間的實質(zhì)區(qū)別,認(rèn)為艙位租用合同與連續(xù)航次租船合同在本質(zhì)上最為接近。在第3章和第4章筆者結(jié)合BIMCO制訂的艙位租用合同標(biāo)準(zhǔn)范本SLOTHIRE并立足于我國《海商法》的背景下分析了艙位租用合同雙方當(dāng)事人的主要權(quán)利和義務(wù)。第3章闡述了艙位租用合同出租人的主要權(quán)利和義務(wù)。出租人的主要權(quán)利包括收取艙位租金的權(quán)利、要求承租人分?jǐn)偣餐p的權(quán)利、對貨物的留置權(quán)等。出租人的主要義務(wù)包括不得不合理繞航的義務(wù)、對承租人貨物損失的賠償義務(wù)等。第4章主要介紹了艙位租用合同承租人的主要權(quán)利和義務(wù)。承租人主要權(quán)利包括使用班輪艙位的權(quán)利和變更、解除合同的權(quán)利。承租人的主要責(zé)任和義務(wù)包括對出租人的保證和補償責(zé)任、對出租人的船舶造成損害時的賠償責(zé)任等。
[Abstract]:There is a space lease contract in the international container liner service, which means that the shipowner (the shipowner) who operates the liner lets out the space on board the ship for the use of other parties. A contract whereby the charterer obtains a stable cargo space for a certain period of time, and then delivers the goods to the shipowner for carriage and pays the lessor the rent of the space. Because this kind of contract does not have the corresponding stipulation in our country "Maritime Law", the nature of the contract, the respective position and right of both parties to the contract and how to apply the law become the puzzling question. In order to clarify the above problems, this paper discusses the following four aspects. The first chapter is about the basic problems of the international container liner space lease contract, mainly introduces the concept of space and space rental, the generation and form of space rental, the qualifications of both parties to the space lease contract and a brief description of the model space rental contract. Chapter 2, as the core part of this paper, studies the nature of the space lease contract. The author compares the space rental contract with the liner shipping contract, the voyage charter contract and the term charter contract one by one. After exploring the essential differences between the latter three kinds of contracts, it is considered that the space lease contract is the most close to the continuous voyage charter contract in essence. In chapter 3 and chapter 4, the author analyzes the main rights and obligations of the parties to the space rental contract under the background of "Maritime Law" of our country, combined with the standard model of space rental contract made by BIMCO, SLOTHIRE. Chapter 3 expounds the main rights and obligations of the lessor in the space rental contract. The principal rights of the lessor include the right to rent the space, the right of the lessee to apportion the general average, the lien on the goods, etc. The main obligations of the lessor include the obligation of having to make a reasonable deviation and the obligation to compensate the lessee for the loss of the goods. Chapter 4 introduces the main rights and obligations of the charterers. The principal rights of the charterer include the right to use and change the shipping space, and the right to terminate the contract. The charterer's main duties and obligations include the guarantee and compensation to the shipowner and the liability for damages to the shipowner's ship.
