【摘要】：情勢變更原則,從其本質(zhì)上來看,基于誠實信用延伸的一種免責(zé)制度,具有窮盡性,在其他相關(guān)制度難以解決的情況下,才運用此制度。情勢變更與商業(yè)風(fēng)險、不可抗力兩者存在著一定的聯(lián)系,并非是涇渭分明。"情勢"應(yīng)具有不可預(yù)見性,要求預(yù)見風(fēng)險的種類且該風(fēng)險超出當事人的承受能力范圍,"變更"應(yīng)當造成顯示公平的一種狀態(tài),因此往往導(dǎo)致合同變更或者解除的結(jié)果,在變更的過程中應(yīng)當排除商業(yè)風(fēng)險造成損失的成分,然后對剩余損失在雙方之間進行分配。本文通過進一步探討兩者的聯(lián)系與區(qū)別,使情勢變更更好的在我國司法實踐中適用。
[Abstract]:The principle of change of circumstances, in essence, is based on the extension of good faith, a system of exemption, with the exhaustion, in the case of other related systems difficult to solve, the application of this system. Circumstances change and business risk, force majeure there is a certain relationship, is not a clear distinction. " "circumstances" should be unpredictable and require that the type of risk be foreseen and that the risk be beyond the range of the parties' ability to bear it. The "change" should result in a state of showing fairness, and thus often result in a change or rescission of the contract, In the process of change, the elements of loss caused by commercial risk should be excluded, and the remaining losses should be allocated between the two parties. By further discussing the connection and difference between the two, this paper makes the situation change more applicable in the judicial practice of our country.
