【摘要】：建設(shè)工程承包性質(zhì)的認(rèn)定,對(duì)于準(zhǔn)確把握承包關(guān)系,厘清合同主體責(zé)任具有十分重要的意義。由于目前我國(guó)調(diào)整建設(shè)工程承包關(guān)系的法律頒布實(shí)行較早,因此法律規(guī)定的滯后性、模糊性已經(jīng)暴露顯現(xiàn),已不能全面有效的調(diào)整現(xiàn)有各類承包關(guān)系的認(rèn)定等。而實(shí)踐中卻又存在大量的各類承包關(guān)系糾紛,長(zhǎng)期的法律空白,對(duì)于建筑行業(yè)的發(fā)展是極為不利的。目前理論研究很少觸及到各類承包關(guān)系的認(rèn)定方面,因此在出現(xiàn)承包糾紛后對(duì)承包關(guān)系性質(zhì)的認(rèn)定就具有十分重要的研究?jī)r(jià)值。本文從某建工公司訴某置業(yè)公司建設(shè)工程承包合同糾紛一案入手,針對(duì)雙方當(dāng)事人對(duì)于承包人與案外人之間的承包關(guān)系爭(zhēng)議為基點(diǎn)。首先,對(duì)現(xiàn)有幾類主要承包關(guān)系進(jìn)行研究分析,從而得出案涉承包合同實(shí)質(zhì)為轉(zhuǎn)包的性質(zhì),進(jìn)而再結(jié)合轉(zhuǎn)包的法律性質(zhì)并就建筑行業(yè)長(zhǎng)期存在的另一現(xiàn)象以房抵款行為進(jìn)行剖析對(duì)案涉工程欠款是否支付予以分析,最終確定案涉發(fā)包人的具體責(zé)任承擔(dān)。最后通過(guò)本文的分析研究就建設(shè)工程承包性質(zhì)的認(rèn)定以及代物清償制度的相關(guān)完善提出一些思考與建議,以期能為此類糾紛的解決起到拋磚引玉之用。
[Abstract]:The determination of the nature of construction project contracting is of great significance to accurately grasp the contract relationship and clarify the main responsibility of the contract. Because of the earlier promulgation and implementation of the laws regulating the contracting relationship of construction projects in our country, the lag and fuzziness of the legal provisions have been exposed and the identification of all kinds of existing contracting relationships can not be fully and effectively adjusted. In practice, however, there are a lot of disputes about contracting relationship, which is unfavorable to the development of construction industry. At present, the theoretical research rarely touches on the identification of all kinds of contracting relationships, so it is of great value to identify the nature of contracting relationships after the emergence of contract disputes. This paper starts with the case of a construction company v. a real estate company, aiming at the dispute about the contracting relationship between the contractor and the outsider of the case. First of all, through the research and analysis of the existing main types of contracting relationships, it is concluded that the nature of the contract involved in the case is subcontracting. Then combined with the legal nature of the subcontract and another phenomenon in the construction industry for a long time, this paper analyzes whether the project is due to be paid or not, and finally determines the specific liability of the contractor involved in the case. Finally, through the analysis and study of this paper, the author puts forward some thoughts and suggestions on the determination of the nature of construction project contract and the improvement of the system of settlement of substitute property, in the hope that it can be used to solve such disputes.
