動產(chǎn)擔(dān)保統(tǒng)一登記制度研究

【摘要】:隨著經(jīng)濟(jì)的發(fā)展,擔(dān)保制度逐漸呈現(xiàn)由傳統(tǒng)的債權(quán)保全向融資媒介發(fā)展,由單純的價值控制到注重物效利用發(fā)展的趨勢,登記制度引入動產(chǎn)擔(dān)保領(lǐng)域是融資領(lǐng)域的一大突破,其為非轉(zhuǎn)移占有擔(dān)保的設(shè)定提供了制度保障。登記制度同時也解決了無體財產(chǎn)權(quán)擔(dān)保問題。但登記制度廣泛應(yīng)用也導(dǎo)致了擔(dān)保法律體系的混亂,擔(dān)保類型種類繁多、登記機(jī)關(guān)不一、登記程序不一等問題,一定程度上制約了動產(chǎn)擔(dān)保融資的發(fā)展,為此,以美國為代表的國家率先進(jìn)行動產(chǎn)擔(dān)保法律制度改革,構(gòu)建了動產(chǎn)擔(dān)保統(tǒng)一登記制度體系,該體系包括登記法律規(guī)范的統(tǒng)一、登記范圍的統(tǒng)一,登記程序的統(tǒng)一和登記效力的統(tǒng)一。我國的動產(chǎn)擔(dān)保融資也進(jìn)入了相對活躍的時期,但是我國的擔(dān)保法律制度具有相對滯后性,無法滿足現(xiàn)代金融實踐的發(fā)展需求,因而需要構(gòu)建現(xiàn)代、高效的動產(chǎn)擔(dān)保法律體系,而登記制度是其中的重要一環(huán),連接著實體和程序,在整個動產(chǎn)擔(dān)保制度起著重要作用。本文采用對比分析的方法,在借鑒域外的動產(chǎn)擔(dān)保統(tǒng)一登記制度的基礎(chǔ)上,分析我國目前存在的動產(chǎn)權(quán)屬統(tǒng)一登記的運作模式,以求完善我國的動產(chǎn)擔(dān)保登記制度。全文共分為四章。第一章首先介紹了動產(chǎn)擔(dān)保中登記的引入、登記的功能,之后介紹了統(tǒng)一的動產(chǎn)擔(dān)保登記制度如何在美國產(chǎn)生,如何被其他國家借鑒,最后是其內(nèi)容構(gòu)成,指出其包括法律規(guī)范、登記范圍、登記程序,登記機(jī)關(guān)、登記效力的統(tǒng)一。第二章是對域外動產(chǎn)擔(dān)保統(tǒng)一登記制度的考察,在其中選取《聯(lián)合國貿(mào)易法委員會動產(chǎn)擔(dān)保交易示范法》為范本,在實體上,《示范法》建立了統(tǒng)一的動產(chǎn)擔(dān)保權(quán)的概念體系,從而實現(xiàn)了登記范圍的統(tǒng)一;在登記程序上,其主張建立中央統(tǒng)一的登記機(jī)關(guān),構(gòu)建符合動產(chǎn)擔(dān)保的登記程序,采用單方申請主義、形式審查、通知登記制度等;在登記效力上采用的符合效率的登記對抗主義。第三章探討我國的統(tǒng)一登記制度,我國擔(dān)保法律體系不完善,缺乏體系化,導(dǎo)致登記公示的范圍確定存在著爭議,在登記程序方面,登記機(jī)關(guān)分散,登記程序不合理,阻礙了擔(dān)保融資實踐,因而實務(wù)中,中國人民銀行聯(lián)合其他部門積極構(gòu)建我國的動產(chǎn)權(quán)屬統(tǒng)一登記系統(tǒng),本文通過對我國的運作模式的分析,發(fā)現(xiàn)其有積極意義但也存在著嚴(yán)重不足。第四章是探討如何完善我國動產(chǎn)擔(dān)保統(tǒng)一登記制度。指出要從法律規(guī)范的體系化、統(tǒng)一登記機(jī)關(guān)、促進(jìn)登記程序的完善、登記效力上采登記對抗主義這幾個方面予以完善。
[Abstract]:With the development of economy, the system of guarantee has gradually developed from the traditional creditor's right preservation to the financing medium, from simple value control to the development of material effect utilization. The introduction of registration system into the field of movable property security is a breakthrough in the field of financing.It provides system guarantee for the creation of non-transfer possession guarantee.The registration system also solves the problem of guarantee of property rights without body.However, the wide application of registration system also leads to the confusion of the legal system of security. There are various types of security, different registration authorities and different registration procedures, which to some extent restrict the development of secured financing for movable property.The countries represented by the United States take the lead in the reform of the legal system of chattel security, and construct a unified registration system of chattel security, which includes the unification of the legal norms of registration and the unification of the scope of registration.The unification of registration procedure and registration effect.The secured financing of movable property in our country has also entered a relatively active period, but the legal system of guarantee in our country is relatively lagging behind and unable to meet the needs of the development of modern financial practice. Therefore, it is necessary to construct a modern and efficient legal system of chattel security.The registration system is one of the important links, linking entities and procedures, in the entire chattel security system plays an important role.This paper adopts the method of comparative analysis, on the basis of referring to the unified registration system of chattel security outside the country, analyzes the operating mode of unified registration of chattel property right in our country at present, in order to perfect the chattel security registration system in our country.The full text is divided into four chapters.The first chapter introduces the introduction and function of registration in chattel guarantee, and then introduces how the unified chattel guarantee registration system comes into being in the United States, how to be used for reference by other countries, and finally its content composition.It includes legal norms, registration scope, registration procedure, registration authority and unification of registration effectiveness.The second chapter is the investigation of the uniform registration system of the security of movable assets, in which the Model Law on secured transactions in movable assets of the United Nations Commission on Trade Law is selected as the model. In the entity, the Model Law establishes a unified conceptual system of security rights in movable assets.In the registration procedure, it advocates the establishment of a central unified registration authority, the establishment of a registration procedure that conforms to the guarantee of movable property, the adoption of unilateral application, formal examination, notification of registration system, etc.An efficient register antagonism used in the effectiveness of registration.The third chapter discusses the unified registration system of our country. The legal system of guarantee in our country is imperfect and lack of systematization, which leads to the controversy of the scope of registration publicity. In the aspect of registration procedure, the registration authority is dispersed and the registration procedure is unreasonable.Therefore, in practice, the people's Bank of China, in conjunction with other departments, actively constructs a unified registration system for the ownership of movable property in China.It is found that it has positive significance, but there are also serious deficiencies.Chapter four discusses how to perfect the unified registration system of chattel guarantee in our country.It is pointed out that it is necessary to perfect the registration procedure from the aspects of systematization of legal norms, unification of registration organs, improvement of registration procedure and adoption of registration antagonism in registration effectiveness.
