【摘要】：隨著新浪等一批企業(yè)以VIE(Variable Interest Entity)模式赴海外上市以來(lái),VIE模式已經(jīng)成為中國(guó)企業(yè)海外上市融資一種重要方式。VIE模式是一種公司制度與金融制度的創(chuàng)新,采用該模式的企業(yè)的知識(shí)產(chǎn)權(quán)問(wèn)題也不可避免的成為需要關(guān)注的問(wèn)題。本文首先解讀VIE模式企業(yè)對(duì)于知識(shí)產(chǎn)權(quán)的價(jià)值訴求和合規(guī)限制,從而就VIE模式企業(yè)知識(shí)產(chǎn)權(quán)資產(chǎn)安排、風(fēng)險(xiǎn)防范、財(cái)務(wù)報(bào)表合并、費(fèi)用轉(zhuǎn)移支付等方面進(jìn)行探討,并提出VIE模式企業(yè)知識(shí)產(chǎn)權(quán)策略應(yīng)對(duì)建議。
[Abstract]:As a group of companies such as Sina have gone overseas to list under the VIE(Variable Interest entity model. VIE model has become an important way for Chinese enterprises to raise funds overseas. Vie model is an innovation of corporate system and financial system. The intellectual property rights of the enterprises using this model also inevitably become a problem to be concerned. Firstly, this paper interprets the value demands and compliance restrictions of the VIE model enterprises for intellectual property rights. This paper probes into the intellectual property assets arrangement, risk prevention, financial statement consolidation and fee transfer payment of enterprises in VIE mode, and puts forward some suggestions for the intellectual property strategy of enterprises in VIE mode.
