【摘要】：知識(shí)產(chǎn)權(quán)融資租賃是融資租賃從傳統(tǒng)有體物領(lǐng)域向無形財(cái)產(chǎn)領(lǐng)域延伸的一個(gè)新類型,具有促進(jìn)知識(shí)產(chǎn)權(quán)運(yùn)用和市場(chǎng)化的積極功能。其在我國興起的時(shí)間不長,卻受到科技文化類企業(yè)和地方政府的積極肯定。但是,由于我國現(xiàn)行法律制度對(duì)知識(shí)產(chǎn)權(quán)融資租賃的態(tài)度不明朗、規(guī)定不明確,知識(shí)產(chǎn)權(quán)融資租賃不僅面臨標(biāo)的物的適格性挑戰(zhàn),也面臨法律屬性的確定、權(quán)利人合法利益的保障等問題。然而知識(shí)產(chǎn)權(quán)融資租賃是我國經(jīng)濟(jì)轉(zhuǎn)型期市場(chǎng)發(fā)展的必然產(chǎn)物,其特殊屬性決定了其存在的價(jià)值。因此,不宜將其納入到既有的借貸或擔(dān)保制度的范圍當(dāng)中,也不宜通過新增"讓與擔(dān)保"類型將其囊括其中,應(yīng)單獨(dú)制定《融資租賃法》并單列"知識(shí)產(chǎn)權(quán)融資租賃"一章,明確知識(shí)產(chǎn)權(quán)融資租賃的法律內(nèi)涵、法律屬性及其交易規(guī)則。
[Abstract]:Intellectual property financial leasing is a new type of financial leasing extending from the traditional physical property field to the intangible property field, which has the positive function of promoting the application and marketization of intellectual property rights. It has not been rising in our country for a long time, but it has been positively affirmed by scientific, technological and cultural enterprises and local governments. However, due to the unclear attitude and unclear stipulation of the current legal system of our country to the intellectual property financial lease, the intellectual property financial leasing is not only faced with the appropriate challenge of the subject matter, but also faces the determination of the legal attribute, the protection of the legitimate interests of the obligee and so on. However, intellectual property financial leasing is the inevitable product of the market development in the transition period of our country, and its special attribute determines the value of its existence. Therefore, it is not suitable to include it in the scope of the existing loan or guarantee system, nor should it be included in it by adding the type of "assignment guarantee". The Financial Leasing Law should be formulated separately and listed separately in the chapter of "intellectual property Financial Leasing" to clarify the legal connotation, legal attributes and transaction rules of intellectual property financial leasing.
