【摘要】：政府與社會資本合作(PPP)模式下一旦通過招標(biāo)采購選定了社會資本方,為了使該項目快速推進(jìn)和順利實施,往往會成立專門的項目公司。作為主要受《公司法》等法律規(guī)制的PPP項目公司,除了具備一般的公司法律要件之外,還必須注重滿足項目建設(shè)的實際需要,根據(jù)PPP項目實施的要求來組織和完善公司法人治理結(jié)構(gòu)。
[Abstract]:In the (PPP) mode of cooperation between government and social capital, once the social capital side is selected by bidding and purchasing, in order to make the project carry out quickly and smoothly, a special project company is often set up. As a PPP project company, which is mainly regulated by the company law and other laws, in addition to the general corporate legal requirements, it must also pay attention to meet the actual needs of the project construction. According to the PPP project implementation requirements to organize and improve the corporate governance structure.
