PPP模式中公私權(quán)益經(jīng)濟(jì)法調(diào)整研究

【摘要】:PPP是Public-Private Partnership的英文縮寫,中文譯為“公共部門與私營(yíng)部門的合作伙伴關(guān)系”。它以PPP協(xié)議約束公私雙方的權(quán)利義務(wù),在利益共享、風(fēng)險(xiǎn)共擔(dān)基礎(chǔ)上形成合作關(guān)系,旨在為公眾更好地提供公共服務(wù)。目前,由于PPP法律制度層級(jí)較低,不同規(guī)范之間存在重復(fù)和矛盾之處,公共部門與私營(yíng)部門在訂立PPP協(xié)議時(shí)權(quán)利義務(wù)分配不明確,公共部門權(quán)力界限不清等原因,導(dǎo)致PPP模式在我國(guó)的應(yīng)用中產(chǎn)生諸多問題,如公共部門與私營(yíng)部門的權(quán)益沖突問題,PPP協(xié)議性質(zhì)問題,風(fēng)險(xiǎn)分擔(dān)問題等,其中,公共部門與私營(yíng)部門的權(quán)益沖突問題是影響公私合作法律關(guān)系的核心問題。公私雙方之間的權(quán)益沖突輕則影響具體項(xiàng)目合作中公私雙方權(quán)利義務(wù)配置,不利于公私雙方的良性合作,嚴(yán)重時(shí)影響公共物品的穩(wěn)定提供,損害公共利益。因此對(duì)PPP模式中公共部門與私營(yíng)部門之間的權(quán)益沖突進(jìn)行有效協(xié)調(diào)至關(guān)重要。本文通過運(yùn)用實(shí)證研究法、比較分析法和文獻(xiàn)研究法,對(duì)如何調(diào)整公私權(quán)益沖突進(jìn)行研究。通過梳理公共部門與私營(yíng)部門權(quán)利義務(wù)配置現(xiàn)狀,得出公私雙方權(quán)益沖突的表現(xiàn)及原因。由于權(quán)利義務(wù)配置不平等,公私雙方根本目標(biāo)不一致以及在PPP模式中公共部門承擔(dān)多重角色等原因,導(dǎo)致公私雙方產(chǎn)生社會(huì)公共利益最大化與私人資本利益最大化之間的沖突,公權(quán)力與私權(quán)利之間的沖突,公共利益與壟斷利益之間的沖突等。英國(guó)、加拿大等國(guó)家PPP模式的運(yùn)用發(fā)展較為成熟,通過分析英國(guó)、加拿大、臺(tái)灣地區(qū)關(guān)于PPP模式中公私權(quán)益調(diào)整的有效做法,結(jié)合我國(guó)實(shí)際情況,得出一些可借鑒的措施,包括完善法律法規(guī)體系,確定專門的主管機(jī)關(guān)及明確其職權(quán)等。這些措施將為協(xié)調(diào)PPP模式中公私雙方的權(quán)益沖突提供理論指導(dǎo)。明確PPP協(xié)議的法律屬性,將為協(xié)調(diào)公私雙方的權(quán)益沖突提供理論出發(fā)點(diǎn)。本文以PPP協(xié)議是具有經(jīng)濟(jì)法屬性的合同為基點(diǎn),以經(jīng)濟(jì)法理念調(diào)整公私雙方的權(quán)益沖突,即確立以公共利益的保護(hù)為核心、兼顧私人權(quán)益的協(xié)調(diào)理念,通過具體措施做到既保障公共利益的實(shí)現(xiàn),又使私營(yíng)部門的合法權(quán)益得到尊重與保護(hù),合理配置公私雙方的權(quán)利義務(wù),從而保證PPP模式的穩(wěn)定發(fā)展。將經(jīng)濟(jì)法理念應(yīng)用于PPP模式中,協(xié)調(diào)公共部門與私營(yíng)部門之間權(quán)益沖突,體現(xiàn)了經(jīng)濟(jì)法對(duì)公私合作各方不同價(jià)值目標(biāo)的包容和尊重,實(shí)現(xiàn)了社會(huì)公共利益最優(yōu)化的整體目標(biāo)與私人資本最大化的個(gè)體目標(biāo)的統(tǒng)一,有助于PPP模式的法學(xué)理論的完善。
[Abstract]:PPP is an acronym for Public-Private Partnership. It binds the rights and obligations of both public and private parties by PPP agreement and forms a cooperative relationship on the basis of benefit-sharing and risk-sharing in order to provide better public services for the public. At present, due to the low level of PPP legal system, duplication and contradiction among different norms, the distribution of rights and obligations between the public sector and the private sector in concluding the PPP agreement is not clear, and the limits of the power of the public sector are not clear. It leads to many problems in the application of PPP model in our country, such as the conflict of rights and interests between the public and private sectors, the nature of PPP agreement, the problem of risk sharing and so on. The conflict of rights and interests between the public and private sectors is the core issue affecting the legal relationship between the public and private sectors. The light conflict of rights and interests between public and private affects the allocation of rights and obligations of both public and private parties in specific project cooperation, which is not conducive to the benign cooperation between public and private parties, and seriously affects the stable supply of public goods and damages the public interests. Therefore, it is very important to coordinate the conflicts between public and private sectors in PPP mode. This paper studies how to adjust the conflict between public and private interests by means of empirical research, comparative analysis and literature research. Through combing the present situation of the allocation of rights and obligations between the public sector and the private sector, this paper concludes the manifestation and causes of the conflict between public and private interests. Due to the unequal allocation of rights and obligations, the inconsistency of the fundamental goals of both public and private parties and the multiple roles of the public sector in the PPP model, there is a conflict between the maximization of social public interests and the maximization of the interests of private capital. The conflict between public power and private right, the conflict between public interest and monopoly interest, etc. The application and development of PPP model in Britain, Canada and other countries are relatively mature. By analyzing the effective methods of adjusting the public and private rights and interests in the PPP model in the UK, Canada and Taiwan, and combining the actual situation of our country, we can draw some measures that can be used for reference. Including perfecting the system of laws and regulations, defining special competent authorities and clarifying their functions and powers. These measures will provide theoretical guidance for coordinating the conflict of interests between public and private parties in the PPP model. Clarifying the legal attribute of PPP agreement will provide a theoretical starting point for coordinating the conflict of rights and interests between public and private parties. Based on the fact that the PPP agreement is a contract with the attribute of economic law, this paper adjusts the conflict of rights and interests between public and private parties with the idea of economic law, that is, to establish the coordination idea of taking the protection of public interest as the core and taking account of private rights and interests. Through concrete measures, we can not only guarantee the realization of public interests, but also respect and protect the legitimate rights and interests of the private sector, and reasonably allocate the rights and obligations of both public and private parties, so as to ensure the stable development of the PPP model. The concept of economic law is applied to the PPP model to coordinate the conflict of rights and interests between the public sector and the private sector, which embodies the tolerance and respect of the different value objectives of the public and private parties. It realizes the unity of the overall goal of the optimization of social public interest and the individual goal of maximizing the private capital, which is helpful to the perfection of the legal theory of the PPP model.
