【摘要】：公司高管薪酬追回制度是在股權(quán)激勵改革、財務(wù)重述頻發(fā)之背景下對高管行為的一種約束,以一定事項發(fā)生為條件(通常是財務(wù)重述),追回高管們基于錯誤財務(wù)信息虛增薪酬的制度。依據(jù)2015年7月SEC發(fā)布的《薪酬追回的上市標(biāo)準(zhǔn)》征求意見稿及2010年之后美國地方法院和巡回上訴法院相關(guān)判例,美國公司高管薪酬追回制度將會強(qiáng)制覆蓋所有上市公司,觸發(fā)條件也更加嚴(yán)格。高管薪酬追回制度的理論基礎(chǔ)是民法的"不當(dāng)?shù)美?制度,其實(shí)施有利于提高財務(wù)報告質(zhì)量、改善公司治理,但同時也會增加上市公司、證券交易機(jī)構(gòu)等與之相關(guān)主體的運(yùn)營成本。
[Abstract]:Executive compensation recovery system is a kind of restriction on executive behavior under the background of equity incentive reform and frequent financial restatement. Subject to the occurrence of certain events (usually financial restatements), recovery of executives based on false financial information false pay system. According to the Securities and Exchange Commission's draft of the listing criteria for compensation recovery published in July 2015 and the relevant jurisprudence of the United States District Court and Circuit Court of Appeals after 2010, the compensation recovery system for top executives in US companies will be mandatory to cover all listed companies. The trigger conditions are also more stringent. The theoretical basis of executive compensation recovery system is the "unjust enrichment" system of civil law. Its implementation is conducive to improving the quality of financial reporting and improving corporate governance, but it will also increase the number of listed companies. The operating costs of the relevant entities such as securities trading institutions.
