【摘要】：隨著我國資本市場的迅速發(fā)展,自20世紀(jì)90年代開始打擊內(nèi)幕交易以來,不同法律規(guī)范對內(nèi)幕信息定義中的首要因素——重大性的規(guī)定越來越混亂,尤其體現(xiàn)在具體如何選擇理性投資者標(biāo)準(zhǔn)和價格敏感性標(biāo)準(zhǔn)、對證券價格"可能影響"和"實(shí)際影響"及其列舉的方式與項(xiàng)目方面。通過比較法視野下抽象式、列舉式和綜合式三種立法方式的分析,結(jié)合我國現(xiàn)有法律框架和具體國情,建議兼采價格敏感性標(biāo)準(zhǔn)和理性投資者標(biāo)準(zhǔn);明確主觀敏感性標(biāo)準(zhǔn);完善內(nèi)幕信息列舉事項(xiàng),包括科學(xué)分類和改進(jìn)已有的內(nèi)幕信息事項(xiàng),從立法上加以明確與改善。
[Abstract]:With the rapid development of China's capital market, since the 1990s began to crack down on insider trading, different legal norms on the definition of insider information the most important factor-the provisions of the importance of more and more confusion. Especially, how to select rational investor standard and price sensitivity standard, and how to select the "possible influence" and "actual effect" on the securities price, and how to list the ways and items. Through the analysis of abstract, enumerative and comprehensive legislative methods in the perspective of comparative law, combining the existing legal framework and specific conditions of our country, the author proposes to adopt both price sensitivity criteria and rational investor standards, and to clarify subjective sensitivity criteria. Perfecting the enumeration of insider information, including scientific classification and improvement of existing insider information, should be clarified and improved in legislation.
