【摘要】：在經(jīng)濟(jì)發(fā)展迅速的當(dāng)今社會(huì),我國(guó)《公司法》面臨著制度構(gòu)建的滯后性,其規(guī)定簡(jiǎn)略而概括,法條適用不夠靈活,在司法實(shí)踐中的操作性不強(qiáng),而股東優(yōu)先購(gòu)買(mǎi)權(quán)便是眾多問(wèn)題之一,有限責(zé)任公司的股權(quán)的交易是司法實(shí)踐中的難點(diǎn),亦是熱點(diǎn)。股權(quán)轉(zhuǎn)讓中交易當(dāng)事人為了自己權(quán)益不受到損害,而盡可能的是交易簡(jiǎn)單化,但是復(fù)雜的交易關(guān)系只能依靠具有實(shí)際操作性的制度來(lái)規(guī)范化,使得股權(quán)交易各方當(dāng)事人的利益實(shí)現(xiàn)最優(yōu)。有限責(zé)任公司股東優(yōu)先購(gòu)買(mǎi)權(quán)的在實(shí)踐中出現(xiàn)的一系列困境所引發(fā)的問(wèn)題被理論界重視,而且也做了很多理論研究,目的在于解決實(shí)務(wù)中得疑難問(wèn)題,因此有關(guān)于此的文章數(shù)量繁多。再加上近年來(lái)的《公司法司法解釋(四)》的發(fā)布,意見(jiàn)稿的第五部分就談及股東優(yōu)先購(gòu)買(mǎi)權(quán)的相關(guān)理論,況且這已經(jīng)是意見(jiàn)稿的第二個(gè)版本了。但是在實(shí)際操作中股東行使優(yōu)先購(gòu)買(mǎi)權(quán)面臨著諸多難題,股權(quán)交易過(guò)程中也產(chǎn)生了許多糾紛,很多核心難題沒(méi)有具體可操作的制度來(lái)規(guī)范。對(duì)這一理論進(jìn)行合理的構(gòu)建,完善股東優(yōu)先購(gòu)買(mǎi)權(quán)的相關(guān)制度構(gòu)建從而使得交易各方的權(quán)益得到最大保障是迫在眉睫的。本文結(jié)合股東優(yōu)先購(gòu)買(mǎi)權(quán)在實(shí)踐操作中的不足,從股東優(yōu)先購(gòu)買(mǎi)權(quán)的性質(zhì),價(jià)值構(gòu)建,并借鑒域內(nèi)外國(guó)家及地區(qū)的經(jīng)驗(yàn),彌補(bǔ)缺陷,提出可操作性強(qiáng)的制度,平衡交易當(dāng)事人權(quán)益,保持良好的交易秩序。
[Abstract]:In today's society with rapid economic development, the Company Law of our country is faced with the lag of system construction, its provisions are simple and general, the application of the law is not flexible enough, and the operation of the law in judicial practice is not strong. The shareholder's preemption right is one of the many problems, the transaction of the limited liability company's stock right is the difficult point in the judicial practice, is also the hot spot. In the transfer of stock rights, the parties to the transaction do not suffer damage to their own rights and interests, but the transaction is simplified as far as possible, but the complicated transaction relationship can only be standardized by the system with practical operation. Make the interests of the parties to equity trading to achieve optimal. The problems caused by a series of dilemmas arising from the practice of shareholders' preemptive right in limited liability companies have been paid attention to by the theorists, and many theoretical studies have been done in order to solve the difficult problems in practice. So there are a lot of articles about this. In addition to the release of the Company Law explanation (4) in recent years, the fifth part of the draft deals with the theory of shareholders' preemptive rights, and this is the second version of the draft. However, in practice, shareholders are faced with many difficulties in exercising the preemptive right, and many disputes have arisen in the process of equity trading, and many core problems have not been regulated by specific operational systems. It is urgent to construct this theory reasonably and to perfect the relevant system of shareholders' preemption right so that the rights and interests of all parties to the transaction can get the greatest protection. This paper combines the deficiency of shareholder's preemption right in practice, from the nature and value construction of shareholder's preemptive right, and draws lessons from the experience of countries and regions in the field, makes up for the defect, and puts forward the system with strong operability. Balance the rights and interests of trading parties and maintain a good trading order.
