【摘要】：房地產(chǎn)企業(yè)民間融資不僅金額巨大、涉及面廣,而且法律關(guān)系復(fù)雜,成為司法實(shí)務(wù)與理論關(guān)注的熱點(diǎn)問(wèn)題。在融資中,簽訂房屋買賣合同作為融資擔(dān)保時(shí),應(yīng)賦予債權(quán)人以優(yōu)先受償權(quán)。融資涉嫌刑事犯罪的情況下,民事訴訟程序并不當(dāng)然中止,應(yīng)依據(jù)民事法律規(guī)范審查融資借款合同和擔(dān)保合同的效力,且債權(quán)人可單獨(dú)對(duì)連帶責(zé)任保證人提起訴訟。因融資產(chǎn)生的債權(quán),其作為房地產(chǎn)企業(yè)破產(chǎn)債權(quán)的清償順位及份額應(yīng)依法律的相關(guān)規(guī)定予以確定。對(duì)房地產(chǎn)企業(yè)非法融資糾紛,刑事暫緩立案有利于諸多問(wèn)題的解決。成立民間融資登記服務(wù)中心,為民間資本進(jìn)入房地產(chǎn)領(lǐng)域搭建合法有效的服務(wù)平臺(tái)是防范房地產(chǎn)企業(yè)非法融資的重要有效路徑。
[Abstract]:The real estate enterprise is not only a huge amount of private financing, involving a wide range, and the complexity of the legal relationship, has become a hot issue in the judicial practice and theory of attention. In the financing, housing sales contracts signed as financing guarantee, the creditor shall be granted to the priority of financing. Suspected criminal crime cases, civil procedure is not of course stop, should be based on the validity of civil legal review of financing the loan contract and the guarantee contract, and creditors can be separate joint liability guarantee lawsuit. Because the financing of debt, as the real estate enterprise bankruptcy creditor's priority and share should be in accordance with the relevant provisions of the law shall be determined on the illegal financing of real estate enterprises. Disputes, criminal suspension filing help solve many problems. The establishment of private financing registration service center, build a legitimate and effective services for private capital to enter the field of real estate The platform is an important and effective way to prevent the illegal financing of the real estate enterprises.
