【摘要】：20世紀(jì)90年代,我國為了維護國家經(jīng)濟產(chǎn)業(yè)安全,就在很多領(lǐng)域(如增值電信領(lǐng)域)設(shè)立了嚴(yán)格的外資準(zhǔn)入限制,但對于互聯(lián)網(wǎng)類新興產(chǎn)業(yè)來說,資金對其發(fā)展非常重要。2000年,新浪首創(chuàng)協(xié)議控制模式海外成功上市,之后十多年間,越來越多互聯(lián)網(wǎng)公司采用此種模式成功海外上市。隨著其運用愈加頻繁,其缺陷也愈加顯現(xiàn),支付寶、寶生鋼鐵事件等有所體現(xiàn)。而國內(nèi)對協(xié)議控制模式的監(jiān)管一直處于灰色地帶,合法性定性不明,未出臺完善的法律法規(guī),相關(guān)部門對其加強管控亟不可待。2015年1月《外國投資法》(草案)的出臺,可見我國相關(guān)部門對其監(jiān)管愈加重視。本文正是基于此背景,對協(xié)議控制模式的基本理論、法律規(guī)制的現(xiàn)狀進行研究和闡述,并對其法律規(guī)制提出相應(yīng)的建議與對策。本文共分為五章。第一章為問題的提出,闡述了近幾年利用協(xié)議控制模式海外上市出現(xiàn)問題的企業(yè),并以此來引出此種模式存在的問題;第二章為協(xié)議控制模式的基本理論,對其定義、法律本質(zhì)、發(fā)展歷程及其中的核心控制協(xié)議進行了分析;第三章為協(xié)議控制模式境外上市及其法律風(fēng)險,闡述了利用此種模式境外上市的流程及存在的風(fēng)險,為后文的法律規(guī)制形成鋪墊;第四章為協(xié)議控制模式的國內(nèi)外法律規(guī)制現(xiàn)狀,闡述了國內(nèi)對其法律規(guī)制的法律法規(guī),及境外對其的規(guī)制,以此形成對比和借鑒;最后一章為其法律規(guī)制的完善建議,根據(jù)最新《外國投資法》(草案)提出其未來可能發(fā)展道路,并根據(jù)現(xiàn)存問題,對國內(nèi)相關(guān)法律法規(guī)、資本市場制度提出建議,以期營造完善的資本市場環(huán)境,促進經(jīng)濟發(fā)展。

This article is based on this background, the protocol control mode The basic theory, research and elaborate the status quo of legal regulation, and puts forward some suggestions and Countermeasures of the legal regulation. This paper is divided into five chapters. The first chapter puts forward the question, elaborated in recent years with the protocol control mode of overseas listing problems of the enterprise, and this leads to the mode of existence the problem; the second chapter is the basic theory of the protocol control mode, the definition, legal nature, development process and the core control protocol is analyzed; the third chapter is the protocol control mode of overseas listing and its legal risk, elaborated with the mode of overseas listing process and risks for the legal regulation of the the formation of bedding; fourth chapter is the domestic and foreign status quo of the legal regulation mode control protocol, expounds the legal regulation of the domestic and overseas laws and regulations, to regulate it, thus forming a contrast and reference; the most After a chapter perfect suggestion to the legal regulation, according to the latest "foreign investment law" (Draft) put forward its future development path, and according to the existing problems of domestic laws and regulations, proposed the capital market system, in order to create the perfect capital market environment, promote economic development.
