【摘要】： 礦業(yè)權(quán)是否可以作價出資成為公司投資者的出資方式,在理論界一直有很多的爭論。目前由于法律未具體規(guī)定,在實務(wù)中,公司登記機關(guān)基本上持否定態(tài)度,拒絕股東以礦業(yè)權(quán)出資入股。對于礦業(yè)企業(yè)尤其是中小企業(yè)而言,礦業(yè)權(quán)是最重要的財產(chǎn),如果否定礦業(yè)權(quán)出資,企業(yè)的投資融資能力及發(fā)展都會受到極大的限制。隨著新《公司法》的修訂以及《物權(quán)法》的頒布及國務(wù)院一些相關(guān)規(guī)定的出臺,礦業(yè)權(quán)出資已經(jīng)具備了現(xiàn)實可行性。本文通過四個部分對礦業(yè)權(quán)的法律性質(zhì)、作為公司出資方式的可能性進行了分析。第一部分著重對國內(nèi)外關(guān)于礦業(yè)權(quán)出資的理論和實踐進行分析,借鑒國外的實踐經(jīng)驗,結(jié)合中國的國情來分析礦業(yè)權(quán)出資的必要性。第二部分對礦業(yè)權(quán)作為公司出資方式的適格性進行分析,全面研究其出資價值和可能性。第三部分是對礦業(yè)權(quán)出資的現(xiàn)實意義進行探討。第四部分是對礦業(yè)權(quán)出資的制度構(gòu)想,試圖找到一種可操作的制度,來完善礦產(chǎn)資源開發(fā)行政許可制度和礦產(chǎn)權(quán)的出資制度,將市場和政府管理有機結(jié)合起來,發(fā)揮最大功效。
[Abstract]:There has been a lot of controversy in the theoretical circle about whether mining right can be paid for as a way of investment of company investors. At present, because the law does not specify, in the practice, the company registration authority basically holds the negative attitude, refuses the shareholder to invest in the stock with the mining right. Mining right is the most important property for mining enterprises, especially small and medium-sized enterprises. If mining rights are denied, the investment and financing ability and development of enterprises will be greatly restricted. With the revision of the new Company Law, the promulgation of the Real right Law and some relevant regulations of the State Council, the contribution of mining rights has become feasible. In this paper, the legal nature of mining right is analyzed in four parts. The first part mainly analyzes the theory and practice of mining right investment at home and abroad, and analyzes the necessity of mining right investment combining with the national conditions of China. The second part analyzes the appropriateness of mining right as the mode of corporate investment, and studies its contribution value and possibility. The third part discusses the practical significance of mining right contribution. The fourth part is the institutional concept of mining right investment, trying to find an operational system to improve the mineral resources development administrative licensing system and mineral property rights investment system, combine the market and government management organically, play the greatest effect.
