論物業(yè)服務(wù)合同履行中的抗辯權(quán)

【摘要】:物業(yè)服務(wù)合同,是指由業(yè)主委員會代表全體業(yè)主與物業(yè)服務(wù)企業(yè)簽訂的,由物業(yè)服企業(yè)提供物業(yè)服務(wù),業(yè)主支付物業(yè)服務(wù)費(fèi)的一種新型合同。它屬于雙務(wù)有償合同,其核心權(quán)利義務(wù)就是交納物業(yè)服務(wù)費(fèi)用和提供物業(yè)服務(wù),這一對權(quán)利和義務(wù)為合同雙方行使抗辯權(quán)提供了法律基礎(chǔ)。物業(yè)服務(wù)合同有其特殊性,在物業(yè)服務(wù)合同的履行過程中抗辯權(quán)行使引起的糾紛在實(shí)踐中大量增加,所以如何在物業(yè)服務(wù)合同履行過程中正確行使抗辯權(quán)值得我們探討。 除導(dǎo)言以外,本文由五個(gè)部分組成。第一部分是物業(yè)服務(wù)合同履行中抗辯權(quán)的法理分析。首先,從物業(yè)服務(wù)合同的性質(zhì)、合同主體和合同標(biāo)的三個(gè)方面分析了物業(yè)服務(wù)合同的特殊性。物業(yè)服務(wù)合同它既不屬于合同法分則規(guī)定的委托合同,也不是一般的無名合同,而是一種新型合同;物業(yè)服務(wù)合同包括業(yè)主、業(yè)主委員會和物業(yè)服務(wù)企業(yè)三方主體;物業(yè)服務(wù)合同標(biāo)的具有公共產(chǎn)品屬性,具有不易計(jì)量和持續(xù)性的特點(diǎn)。其次,對物業(yè)服務(wù)合同履行抗辯權(quán)法理進(jìn)行分析。在闡述合同抗辯權(quán)的相關(guān)原理的基礎(chǔ)上,闡述了在物業(yè)服務(wù)合同抗辯權(quán)的行使過程中應(yīng)遵循誠實(shí)信用原則和禁止權(quán)利濫用原則,并分析了行使物業(yè)服務(wù)合同抗辯權(quán)的主體。 第二部分著重對物業(yè)服務(wù)合同抗辯權(quán)的類型進(jìn)行論述。在簡要分析合同法中規(guī)定的三種類型的基礎(chǔ)上,著重論述物業(yè)服務(wù)合同中抗辯權(quán)的類型。首先闡述實(shí)踐中關(guān)于物業(yè)服務(wù)合同抗辯權(quán)的類型幾種觀點(diǎn)。其次對幾種觀點(diǎn)其進(jìn)行對比分析。最后確定物業(yè)服務(wù)合同的抗辯權(quán)屬于同時(shí)履行抗辯權(quán),這更有利于保護(hù)廣大業(yè)主的權(quán)益。 第三部分是文章的主體部分,分析了物業(yè)服務(wù)合同中抗辯權(quán)行使的具體情形。在對物業(yè)服務(wù)合同中抗辯理由進(jìn)行系統(tǒng)分析的基礎(chǔ)上,分析了業(yè)主、物業(yè)服務(wù)企業(yè)的抗辯權(quán)。其中業(yè)主抗辯權(quán)是本文分析的重點(diǎn),特別是業(yè)主對物業(yè)服務(wù)企業(yè)服務(wù)瑕疵的抗辯。首先,本文對物業(yè)服務(wù)合同的抗辯理由進(jìn)行分類,分為前期物業(yè)服務(wù)合同履行中的抗辯理由與物業(yè)服務(wù)合同履行中存在的抗辯理由。其次,分析業(yè)主對物業(yè)服務(wù)企業(yè)的抗辯,包括業(yè)主對違規(guī)、違約收取物業(yè)費(fèi)的抗辯,對不滿小區(qū)安保義務(wù)的抗辯,對物業(yè)費(fèi)請求超過訴訟時(shí)效的抗辯,物業(yè)繼受人對積欠物業(yè)費(fèi)的抗辯。再次,著重闡述了業(yè)主對物業(yè)服務(wù)企業(yè)提供的服務(wù)存在瑕疵以拒交、少交物業(yè)費(fèi)抗辯。最后,闡述物業(yè)服務(wù)企業(yè)對欠費(fèi)業(yè)主拒絕提供服務(wù)的抗辯。 第四部分分析了物業(yè)服務(wù)合同中抗辯權(quán)行使的限制。不當(dāng)抗辯權(quán)包括業(yè)主以建設(shè)單位遺留的問題為由進(jìn)行抗辯,對前期物業(yè)合同的抗辯,自己沒有簽訂物業(yè)服務(wù)合同進(jìn)行抗辯,應(yīng)由物業(yè)使用人履行義務(wù)抗辯,對協(xié)助義務(wù)的抗辯和以未享受或無需服務(wù)進(jìn)行抗辯,物業(yè)服務(wù)企業(yè)對欠費(fèi)業(yè)主采取斷電、水、氣進(jìn)行抗辯。在此基礎(chǔ)之上對各個(gè)不成立抗辯的理由進(jìn)行評述。 第五部分,完善我國物業(yè)服務(wù)合同履行中抗辯權(quán)的建議。首先著重闡述完善我國物業(yè)服務(wù)企業(yè)的服務(wù)標(biāo)準(zhǔn),,主要結(jié)合我國對物業(yè)服務(wù)標(biāo)準(zhǔn)的規(guī)定,在具體操作中如何認(rèn)定服務(wù)的標(biāo)準(zhǔn)。其次論述完善我國的物業(yè)費(fèi)收交程序。最后從列明抗辯理由與合理分配舉證責(zé)任兩方面完善物業(yè)服務(wù)合同雙方行使抗辯權(quán)的方式。
[Abstract]:Property service contract refers to the owners committee on behalf of all the owners and the realty service enterprise signed by the property service enterprises, the provision of property services, a new contract for property owners to pay the service charge. It belongs to the remunerative contract, the rights and obligations of the core is to pay the cost of property services and property management services, the rights and the obligation to provide the legal basis for the parties to exercise the right of defense. The property service contract has its particularity, in the process of performing the right of defense exercise caused a lot of disputes in practice to increase the property services contract, so how in the property service contract in the course of the exercise of the right of defense right is worth discussing.
In addition to the introduction, this paper consists of five parts. The first part is the legal analysis of the realty service contract to fulfill the right of defense. The second part focuses on the type of property service contract defenses are discussed. A brief analysis of provisions in the contract law in the three types on the basis of the type of defense focuses on the property services contract right. Firstly, several types of views on the property service contract right of defense in practice. Secondly, some viewpoints on the comparative analysis. Finally determine the right of defense of property services contract belongs to the defense right of simultaneous performance, which is more conducive to the protection of the interests of owners.
The third part is the main part of the article, analysis of the specific circumstances of the defense of property services contract to exercise the right. On the basis of systematic analysis of the defense of the realty service contract on the grounds that the owners of property services companies, the owners of the right of defense.
