【摘要】：近年以來(lái),一些在80年代與中國(guó)簽訂雙邊投資協(xié)定的國(guó)家如德國(guó)、法國(guó)、荷蘭等紛紛向中國(guó)提出修訂雙邊投資協(xié)定的要求。這些協(xié)定多是在中國(guó)實(shí)行改革開放之初簽訂的,二十多年以來(lái)特別是入世以來(lái)中國(guó)的政治經(jīng)濟(jì)和相關(guān)外資法律都發(fā)生了重要的改變,為了適應(yīng)引進(jìn)更多外資以及重視向外投資的新形勢(shì),中國(guó)分別于近10年來(lái)與這些國(guó)家談判,并簽署了新的協(xié)定或修改了原協(xié)定的議定書。中國(guó)—泰國(guó)雙邊投資保護(hù)協(xié)定同樣簽署于20世紀(jì)80年代,距今年代久遠(yuǎn),顯然也無(wú)法適應(yīng)現(xiàn)實(shí)的發(fā)展。本文以完善中國(guó)與泰國(guó)間的雙邊投資保護(hù)協(xié)定為主題,分析該協(xié)定中的一些重要條款,找出其中的不足之處。另外,借鑒一些較為完善的投資協(xié)議的規(guī)定,對(duì)完善中泰兩國(guó)的雙邊投資保護(hù)協(xié)定提出建議。全文主要分為三章： 第一章對(duì)中國(guó)—泰國(guó)雙邊投資保護(hù)協(xié)定中的主要內(nèi)容進(jìn)行分析,著重分析“投資”定義、投資待遇、征收以及爭(zhēng)端解決條款,總結(jié)出規(guī)定不完善之處。 第二章論述的是國(guó)際投資協(xié)定的新發(fā)展,分為四個(gè)部分。第一部分是研究當(dāng)今雙邊投資協(xié)定以及區(qū)域投資協(xié)定的新發(fā)展特點(diǎn)；第二部分析東盟內(nèi)部、中國(guó)—東盟內(nèi)部的投資規(guī)則；第四部分分析中國(guó)近年來(lái)重新修訂的雙邊投資協(xié)定主要內(nèi)容。通過以上所列投資規(guī)則的分析,總結(jié)出完善中國(guó)—泰國(guó)雙邊投資協(xié)定可借鑒的經(jīng)驗(yàn)。 第三章是對(duì)完善中泰雙邊投資協(xié)定的具體思路和建議。通過對(duì)一些較為成熟的雙邊投資協(xié)定、區(qū)域投資協(xié)定條款內(nèi)容的研究分析,從中總結(jié)出完善中泰投資協(xié)定中的“投資”定義、投資待遇、征收以及投資爭(zhēng)端解決等主要條款的思路,并提出具體的完善建議。
[Abstract]:In recent years, some countries that signed bilateral investment agreements with China in 80s, such as Germany, France, and the Netherlands, have one after another asked China to revise their bilateral investment agreements. Most of these agreements were signed at the beginning of China's reform and opening up. Over the past 20 years, especially since China's accession to the WTO, important changes have taken place in China's political economy and relevant foreign investment laws. In order to adapt to the new situation of introducing more foreign capital and attaching importance to overseas investment, China has negotiated with these countries in the past 10 years. China and Thailand also signed the bilateral Investment Protection Agreement on 1980s, which is a long time ago. Obviously, it is also unable to adapt to the development of reality. This paper focuses on perfecting the bilateral investment protection agreement between China and Thailand, analyzes some important provisions of the agreement, and finds out the shortcomings. Drawing on the provisions of some more perfect investment agreements, this paper puts forward some suggestions on how to improve the bilateral investment protection agreements between China and Thailand. The full text is divided into three chapters:. The first chapter analyzes the main contents of the bilateral investment protection agreement between China and Thailand, focusing on the definition of "investment", investment treatment, levy and dispute settlement clauses, and summarizes the imperfections of the provisions. Chapter two deals with the new development of IIAS, which is divided into four parts. The first part is to study the new development characteristics of bilateral investment agreements (bits) and regional investment agreements (RIAS). Part 4th analyzes the main contents of the bilateral Investment Agreement (bits) revised by China in recent years. Through the analysis of the above mentioned investment rules, the experience of perfecting the bilateral Investment Agreement between China and Thailand can be summed up. The third chapter is to perfect the Sino-Thai bilateral investment treaty specific ideas and suggestions. Through some more mature bilateral investment agreements, regional investment agreement provisions of research and analysis, This paper summarizes the ideas of perfecting the definition of "investment", the treatment of investment, the collection and settlement of investment disputes in the Sino-Thai investment treaty, and puts forward some specific suggestions for perfection.
