【摘要】：我國(guó)的產(chǎn)業(yè)投資基金其實(shí)就是國(guó)外的股權(quán)投資基金,其本身并不是一種商業(yè)組織形式,事實(shí)上,它最終采取哪種組織形式,就具有該種組織形式所可能產(chǎn)生的風(fēng)險(xiǎn),從而受規(guī)范該種組織形式的法律的約束。產(chǎn)業(yè)投資基金的主要組織形式包括公司型、信托型和合伙型等,各有利弊。在產(chǎn)業(yè)投資基金監(jiān)管中政府應(yīng)起到導(dǎo)向作用,相關(guān)法律應(yīng)起到嚴(yán)格規(guī)范作用,但并不一定需要專門(mén)的產(chǎn)業(yè)投資基金立法或一部《投資基金法》,而應(yīng)通過(guò)現(xiàn)有的《公司法》、《信托法》和《合伙企業(yè)法》及其實(shí)施細(xì)則的完善,再加上國(guó)家的產(chǎn)業(yè)投資導(dǎo)向政策與投資目錄來(lái)規(guī)范。
[Abstract]:China's industrial investment fund is actually a foreign equity investment fund, it is not a form of commercial organization itself, in fact, which kind of organization form it ultimately takes, it has the risk that this kind of organization form may produce. Thus be bound by the law regulating this form of organization. The main organization forms of industrial investment fund include company type, trust type and partnership type, each has its advantages and disadvantages. The government should play a guiding role in the supervision of industrial investment funds, and the relevant laws should play a strict and standardized role, but it does not necessarily require special legislation on industrial investment funds or an Investment Fund Law, but should adopt the existing Company Law, The perfection of the Trust Law and the Partnership Law and their implementing rules are regulated by the state's industrial investment-oriented policy and investment catalogue.
