【摘要】：此次《公司法》修改強(qiáng)化了股東權(quán),特別是股東的訴權(quán)。但關(guān)于股東行使該權(quán)利時所發(fā)生的費(fèi)用應(yīng)由誰承擔(dān)的問題并無明文規(guī)定。如果期待股東能在公司治理結(jié)構(gòu)中發(fā)揮作用的話,解決費(fèi)用承擔(dān)的問題意義不小。但該問題卻涉及行使權(quán)利的股東與其他股東之間的利益如何調(diào)整的問題,制度設(shè)計(jì)上頗為棘手。為此,通過對日美兩國作比較法的檢討,提出了完善我國公司法上相關(guān)制度的建議。
[Abstract]:This amendment to the Company Law strengthens the shareholder's right, especially the shareholder's right of action. However, the question of who should bear the expenses incurred in the exercise of the right is unclear. If shareholders are expected to play a role in the corporate governance structure, it is significant to solve the problem of cost bearing. However, the problem involves how to adjust the interests between shareholders and other shareholders, and the system design is quite difficult. Therefore, by reviewing the comparative law between Japan and the United States, the author puts forward some suggestions to perfect the relevant system in the company law of our country.
