國(guó)有獨(dú)資公司權(quán)力制衡機(jī)制法律問(wèn)題研究

【摘要】:自我國(guó)國(guó)有企業(yè)進(jìn)入公司化改造階段以來(lái),國(guó)有獨(dú)資公司成為大多數(shù)國(guó)企采取的公司組織形式。然而形式上的改造僅僅是國(guó)企改革的第一步,圍繞國(guó)有獨(dú)資公司治理的相關(guān)制度亟待構(gòu)建和完善。國(guó)有獨(dú)資公司作為國(guó)家全資的公司,其所有權(quán)主體具有分散性和虛置性,無(wú)法親自行使股東權(quán),由國(guó)家代表行使導(dǎo)致嚴(yán)重的行政干預(yù)經(jīng)營(yíng);經(jīng)營(yíng)決策權(quán)主體與股東之間存在多層代理關(guān)系,代理風(fēng)險(xiǎn)巨大,極易與業(yè)務(wù)執(zhí)行主體經(jīng)理層形成共謀,侵害公司利益;監(jiān)事會(huì)成員的外派性和非專(zhuān)業(yè)性導(dǎo)致其監(jiān)督職權(quán)無(wú)法發(fā)揮,以上諸多問(wèn)題共同造成了國(guó)有獨(dú)資公司控制權(quán)體系健康運(yùn)行的困境。 我國(guó)目前實(shí)行的《公司法》對(duì)國(guó)有獨(dú)資公司權(quán)力運(yùn)行的規(guī)定過(guò)于粗略,《國(guó)有資產(chǎn)監(jiān)督管理暫行條例》中的很多規(guī)定過(guò)于陳舊,無(wú)法滿(mǎn)足對(duì)國(guó)有獨(dú)資公司調(diào)整的現(xiàn)實(shí)需要。本文以公司法基礎(chǔ)理論作為鋪墊,結(jié)合國(guó)有獨(dú)資公司權(quán)力運(yùn)行的特殊性,在對(duì)國(guó)外相關(guān)制度進(jìn)行了充分借鑒的基礎(chǔ)上,提出從完善國(guó)有資產(chǎn)授權(quán)經(jīng)營(yíng)制度、完善董事會(huì)制度、構(gòu)建董事會(huì)對(duì)經(jīng)理層的制衡機(jī)制和強(qiáng)化監(jiān)事會(huì)職能四個(gè)方面來(lái)構(gòu)建國(guó)有獨(dú)資公司權(quán)力運(yùn)行體制。
[Abstract]:Since China's state-owned enterprises entered the stage of corporatization transformation, state-owned enterprises have become the organizational form adopted by most state-owned enterprises.However, formal transformation is only the first step in the reform of state-owned enterprises.As the wholly owned company of the state, the ownership subject of the wholly owned company is scattered and fictitious, and it can not exercise the shareholder's right in person, so the state representative exercises the administrative interference to the management seriously.There is a multi-layer agency relationship between the main body of the business decision-making power and the shareholders, the agency risk is huge, and it is easy to form collusion with the manager of the business executive body and infringe on the interests of the company.The expatriate and non-professional members of the board of supervisors can not exert their supervisory powers. These problems have resulted in the difficulties of the healthy operation of the control system of the wholly state-owned company.At present, the provisions of Company Law on the power operation of wholly state-owned companies are too rough, and many of the provisions in the interim regulations on Supervision and Administration of State-owned assets are too old to meet the practical needs of the adjustment of wholly state-owned companies.Based on the basic theory of company law, combined with the particularity of the power operation of the wholly state-owned company, and on the basis of the full reference to the relevant systems abroad, this paper puts forward that the system of the authorized management of state-owned assets and the system of the board of directors should be perfected.To construct the power operation system of the wholly state-owned company, we should build the balance mechanism of the board of directors to the manager level and strengthen the function of the board of supervisors.
