【摘要】：近年來,英國先后發(fā)布了系列競爭合規(guī)的相關(guān)文件,建立了一套較為完整的企業(yè)競爭合規(guī)指引機(jī)制。該指引機(jī)制由競爭合規(guī)的理念培育、體系組織、知識支持和信息反饋四個部分組成。在競爭合規(guī)的理念培育上,通過懲罰威懾、名利激勵等方式培養(yǎng)企業(yè)競爭合規(guī)的法律意識;在競爭合規(guī)的體系組織上,以全員參與為原則,通過自上而下模式,采用CDO對企業(yè)董事進(jìn)行定向策動;在競爭合規(guī)的知識支持上,設(shè)計了一套含風(fēng)險識別、風(fēng)險評估、風(fēng)險消減、系統(tǒng)檢審在內(nèi)的"四步法"操作規(guī)程;在競爭合規(guī)的信息反饋上,通過個案執(zhí)法、常規(guī)咨詢、市場調(diào)研等方式進(jìn)行互動。本文通過對英國這一機(jī)制的分析,得出結(jié)論:我國應(yīng)當(dāng)積極借鑒英國的做法,推動我國企業(yè)競爭合規(guī)的發(fā)展。
[Abstract]:In recent years, the UK has issued a series of competition compliance related documents, established a more complete corporate competition compliance guidance mechanism. The guidance mechanism consists of four parts: the concept of competition compliance, system organization, knowledge support and information feedback. In the concept of competition compliance cultivation, through punishment deterrence, fame and wealth incentive and other ways to cultivate the legal awareness of enterprise competition compliance; In the system organization of competition compliance, take the participation of all staff as the principle, through top-down mode, adopt CDO to direct the director of the enterprise; In the knowledge support of competition compliance, a set of "four-step method" operation rules including risk identification, risk assessment, risk abatement and systematic review is designed. In the competition compliance information feedback, through the case law enforcement, the routine consultation, the market research and so on way carries on the interaction. Based on the analysis of this mechanism in Britain, this paper draws a conclusion that our country should actively draw lessons from the British practice to promote the development of competition compliance in Chinese enterprises.
