【摘要】：柔性電路板(簡(jiǎn)稱FPC)是以聚酯薄膜為基材制成的一種具有高可靠性、可撓性印刷電路板,簡(jiǎn)稱軟板、柔性板、撓性板。FPC產(chǎn)品作為一種新的集成連接方式,可以大大縮小電子產(chǎn)品的體積和重量,隨著下游終端消費(fèi)電子類產(chǎn)品輕量化、小型化、薄型化發(fā)展的必然趨勢(shì),將逐步取代公司現(xiàn)有的部分線束產(chǎn)品,成為空間敏感型應(yīng)用中的最佳訊號(hào)傳輸通道。加上人們生活消費(fèi)水平的提升。從基本的滿足生活需求向重視生活質(zhì)量轉(zhuǎn)變,隨著收入的增加,對(duì)消費(fèi)品的需求由單一的功能轉(zhuǎn)變?yōu)橄蛑悄芑�、個(gè)性化方向發(fā)展。手機(jī)電腦作為快速消費(fèi)品之一,這方面的需求體現(xiàn)的尤為明顯,由于人們對(duì)需求越來越多樣化,手機(jī)、電腦電子消費(fèi)市場(chǎng)出現(xiàn)了一片生機(jī)勃勃的景象,市場(chǎng)潛力非常巨大。目前FPC比較成熟先進(jìn)的技術(shù)掌握在日本與韓國(guó)企業(yè),但我國(guó)的電子產(chǎn)品制造企業(yè),經(jīng)過長(zhǎng)期的摸索和配套加工,積累了豐富的管理經(jīng)驗(yàn),如果在技術(shù)及品質(zhì)上可以更進(jìn)一步相信可以在近期內(nèi)取而代之,D公司是一家上市公司,一直專注于連接器的研發(fā)、制造和銷售。產(chǎn)品涉及電子連接器、電子電器線束、精密模具、汽車電子等,產(chǎn)品廣泛應(yīng)用于家用電器、通訊、計(jì)算機(jī)及外圍設(shè)備、汽車、工業(yè)等領(lǐng)域。2014年銷售額達(dá)到30億,未來五年的戰(zhàn)略規(guī)劃發(fā)展將超過100億元。在全國(guó)各地建有制造與研發(fā)基地,是目前國(guó)內(nèi)頗具規(guī)模和影響力的連接器專業(yè)制造企業(yè),作為中國(guó)最具實(shí)力的連接器制造企業(yè)之一,看準(zhǔn)了FPC未來的發(fā)展空間,希望通過收購(gòu)XX企業(yè)來進(jìn)行產(chǎn)品鏈整合。本文目的是對(duì)并購(gòu)XX公司FPC項(xiàng)目進(jìn)行分析。借助可行性研究的相關(guān)理論,對(duì)項(xiàng)目的可行性進(jìn)行論證,應(yīng)用SWOT分析及波特五力模型等方法,分析公司的內(nèi)外部環(huán)境,評(píng)估收購(gòu)的合理性與必要性,以及分析可能會(huì)遇到的問題,有助于在風(fēng)險(xiǎn)控制上采取主動(dòng),提前做好相關(guān)準(zhǔn)備,以降低公司并購(gòu)的風(fēng)險(xiǎn)。然后通過市場(chǎng)預(yù)測(cè)分析了我國(guó)FPC產(chǎn)業(yè)的發(fā)展?fàn)顩r及各行業(yè)的市場(chǎng)占比可以看出未來FPC發(fā)展趨勢(shì),同時(shí)分析各個(gè)行業(yè)的發(fā)展依賴FPC的必要性,以及未來市場(chǎng)的增長(zhǎng)可以確定FPC未來增長(zhǎng)將會(huì)是一個(gè)非常巨大的市場(chǎng);通過技術(shù)分析、財(cái)務(wù)分析得出并購(gòu)FPC項(xiàng)目是完全可行的結(jié)論,為收購(gòu)項(xiàng)目提供科學(xué)的理論指導(dǎo)。
[Abstract]:Flexible circuit board (FPC) is a kind of high reliability, flexible printed circuit board, flexible board and flexible board. The volume and weight of electronic products can be greatly reduced. With the inevitable trend of light weight, miniaturization and thinness of downstream consumer electronics products, they will gradually replace some of the existing wire harness products of the company. It becomes the best signal transmission channel in space sensitive applications. Add to this the improvement in people's living and consumption. With the increase of income, the demand for consumer goods has changed from a single function to an intelligent and individualized direction. As one of the fast moving consumer goods, the demand for mobile phone and computer is particularly obvious. Because of the increasing diversity of demand, the mobile phone, computer and electronic consumer market has a vibrant scene, and the market potential is very great. At present, the relatively mature and advanced technology of FPC is grasped in Japanese and Korean enterprises. However, after a long period of exploration and matching processing, our electronic products manufacturing enterprises have accumulated rich management experience. If the technology and quality of the company can be further believed to be able to replace the company in the near future is a listed company, has been focusing on the development, manufacturing and sales of connectors. The products include electronic connectors, electronic wiring harness, precision mould, automobile electronics, etc. The products are widely used in household appliances, communications, computers and peripherals, automobiles, industry and other fields. The next five years of strategic planning and development will exceed 10 billion yuan. As one of the most powerful connectors manufacturing enterprises in China, China has established manufacturing and R & D bases in various parts of the country. It is a professional manufacturer of connectors with considerable scale and influence in our country. As one of the most powerful connectors manufacturing enterprises in China, it has identified the development space of FPC in the future. Hope through the acquisition of XX enterprises to product chain integration. The purpose of this paper is to analyze the M & A FPC project of XX Company. With the help of the theory of feasibility study, the feasibility of the project is demonstrated, and the internal and external environment of the company is analyzed by means of SWOT analysis and Porter's five-force model, and the reasonableness and necessity of the acquisition are evaluated. It is helpful to take the initiative in risk control and prepare well in advance in order to reduce the risk of M & A. Then through the market forecast and analysis of the development of China's FPC industry and market share of each industry, we can see the future trend of FPC development, at the same time, analyze the necessity of depending on FPC for the development of each industry. And the future market growth can be determined that the future growth of FPC will be a very large market. Through technical analysis and financial analysis, it is concluded that M & A FPC project is completely feasible and provides scientific theoretical guidance for the acquisition project.
