【摘要】：自2001年信托法律實施以來,公益信托的發(fā)展寥寥無幾。2008年以后國家鼓勵信托公司以公益信托的方式支持公益事業(yè)的發(fā)展,信托公司為適應市場的需求,推出了“具有捐贈性質的集合資金信托計劃”,即本文研究的準公益信托,它是一種新型的信托模式,是以公益目的為主,同時包含私益目的的信托。準公益信的出現對信托法律體系以及信托市場的發(fā)展都有重大意義,不僅改善我國信托市場環(huán)境,為我國公益事業(yè)發(fā)展開拓空間,也能夠完善我國信托法體系。隨著經濟的不斷發(fā)展,社會對公眾的熱情日益增長,準公益信托的發(fā)展越來越多,但是目前我國對于準公益信托的探究不深,立法處于空白,缺乏相應的法律制度予以支持。所以我們應該將準公益信托界定為一種獨立的信托形式,規(guī)定準公益信托的設立構成要件,從程序上采取登記的方式進行設立,建立多層次的監(jiān)管體系。本文具體分為五部分來論述:第一部分為引言,主要闡述了本文的研究背景和意義,并對現有的文獻進行綜合概述,概括了本文的研究內容與方法,體現了本文主要工作和創(chuàng)新,最后介紹了本文的基本結構。第二部分為準公益信托屬性及特征,這是研究準公益信托設立制度的基礎,首先對準公益信托的屬性及概念做出界定,并論述準公益信托的特征,其次將準公益信托與慈善信托作比較。第三部分為準公益信托的發(fā)展現狀及存在的問題,主要介紹準公益信托發(fā)展的背景現狀,以及準公益信托在實踐發(fā)展中存在的問題。第四部分為國外慈善信托制度的借鑒。主要從程序和實體方面介紹,程序方面是國外設立登記制,分析登記的作用和效力;程序方面主要介紹英國慈善信托的例外規(guī)則以及美國利益分離信托模式,提出對我國的啟發(fā)和借鑒。第五部分為準公益信托設立制度的建議。包括準公益信托的構成要件,設立方式以及監(jiān)管制度。
[Abstract]:Since the implementation of the trust law in 2001, the development of the public trust has been few.2008 years later. The State encourages trust companies to support the development of public welfare undertakings by the way of public trust. In order to meet the market demand, trust companies have launched a "donated fund trust plan", that is, a quasi public trust, which is a study of this article. The new trust model, which is based on the purpose of public welfare and contains the purpose of private benefit. The emergence of quasi public welfare letter has great significance to the trust legal system and the development of the trust market. It not only improves the environment of the trust market in our country, opens up the space for the development of our public welfare undertakings, but also improves our country's trust law system. With the economy, it can also improve our trust law system. With the continuous development of the public, the social enthusiasm for the public is growing, and the development of the quasi public trust is more and more. But at present, our country is not deep in the exploration of the quasi public trust trust, the legislation is in the blank, and the corresponding legal system is lacking to support it. Therefore, we should set the quasi public welfare trust as an independent trust form and stipulate the quasi public trust trust. The establishment of the constitution of the establishment of the establishment of the registration form, the establishment of a multi-level regulatory system. First, it defines the properties and concepts of the public trust, and discusses the characteristics of the quasi public trust trust, and then compares the quasi public trust with the charitable trust. Third Part of the present situation and existing problems of the quasi public trust trust, mainly introducing the background of the development of the quasi public trust and the existing problems in the development of the quasi public trust trust in practice. The fourth part is a reference for the foreign charitable trust system, mainly from the aspects of the procedure and entity, the procedure is the establishment of the registration system abroad and the analysis of the registration. In the fifth part, the fifth part is the proposal for the establishment of the quasi public trust trust system, including the elements of the quasi public trust, the mode of establishment and the supervision system.
