【摘要】：我國合作社可適當(dāng)借鑒美國新一代合作社的模式,社員資格的取得由開放式改為適當(dāng)?shù)姆忾]式,在合作社管理方面進行一定的創(chuàng)新,在分配方式上可適當(dāng)增加資本分配方式。社員原則上"自愿入社、退社自由",但是章程可以對社員退社做出適當(dāng)?shù)南拗?避免因社員資格的開放導(dǎo)致合作社資本變動頻仍,從而影響交易安全,不利于合作社的長期發(fā)展。從有效吸引外資這個角度來看,可在最高限額內(nèi)允許外部人員購置優(yōu)先股,對優(yōu)先股的表決權(quán)進行限定。在分配利潤方面,按資分配不超過按勞分配的總額,這樣能保證合作社的本質(zhì)和設(shè)立宗旨,同時,應(yīng)在合作社中引進股票和期貨。
[Abstract]:China's cooperatives can learn from the mode of the new generation of cooperatives in the United States, the membership of the membership from the open to the appropriate closed, cooperative management in a certain degree of innovation. In principle, members can "voluntarily join the cooperative, withdraw the freedom", but the articles of association can make appropriate restrictions on the withdrawal of members. From the perspective of attracting foreign capital effectively, we should avoid the frequent changes of cooperative capital due to the opening of membership qualifications, which will affect the security of transactions and be detrimental to the long-term development of cooperatives. The voting rights of preferred stock may be limited by allowing outside persons to purchase preferred stock within the maximum limit. In the distribution of profits, the distribution by capital shall not exceed the total amount allocated according to work. In this way, the essence and purpose of the co-operative should be guaranteed, and stock and futures should be introduced into the co-operative.
