【摘要】：本課題主要研究新三板市場(chǎng)建立轉(zhuǎn)板機(jī)制的必要性及面臨的相關(guān)問題,并提出如何建立符合我國(guó)國(guó)情的轉(zhuǎn)板制度。主要內(nèi)容包括四個(gè)部分:第一部分介紹我國(guó)新三板市場(chǎng)運(yùn)行現(xiàn)狀,對(duì)新三板的最新市場(chǎng)情況進(jìn)行數(shù)據(jù)統(tǒng)計(jì)分析;第二部分介紹轉(zhuǎn)板機(jī)制的基本概念,闡述轉(zhuǎn)板機(jī)制的含義、基本類型、遵循原則和重要意義,提出新三板引入轉(zhuǎn)板機(jī)制的必要性和重要作用;第三部分介紹境外發(fā)達(dá)國(guó)家以及其他成熟資本市場(chǎng)的層次結(jié)構(gòu)和轉(zhuǎn)板制度現(xiàn)狀,著重對(duì)美國(guó)、英國(guó)、日本、臺(tái)灣市場(chǎng)轉(zhuǎn)板制度進(jìn)行了研究,吸取境外資本市場(chǎng)發(fā)展經(jīng)驗(yàn)并加以歸納,提出對(duì)于我國(guó)建立轉(zhuǎn)板機(jī)制的借鑒意義;第四部分研究如何建立我國(guó)新三板市場(chǎng)轉(zhuǎn)板路徑,提出分層管理和轉(zhuǎn)板上市兩步走的轉(zhuǎn)板路徑。
[Abstract]:This paper mainly studies the necessity of establishing the mechanism of the new third board market and the related problems. The main contents are as follows: the first part introduces the current situation of the new third board market in our country, and makes statistical analysis on the latest market situation of the new third board. The second part introduces the basic concept of the turntable mechanism, expounds the meaning, basic types, principles and important significance of the mechanism, and puts forward the necessity and important role of the new three-board mechanism. The third part introduces the hierarchical structure of overseas developed countries and other mature capital markets and the current situation of the system, focusing on the United States, the United Kingdom, Japan, Taiwan market transfer system. Draw on the overseas capital market development experience and sum up, put forward for our country to establish the transfer mechanism of reference significance; In the 4th part, the author studies how to set up the new third board market transfer path in China, and puts forward the two-step transfer path of delamination management and the listing of the new third board market.
