中國工商銀行跨國并購的效率分析

【摘要】:20世紀(jì)90年代以來,很多企業(yè)為了擴(kuò)大其規(guī)模,獲得規(guī)模經(jīng)濟(jì),在全球范圍內(nèi)盛行企業(yè)間的并購,尤其是銀行并購。近年來,很多大型銀行已積極尋求海外市場(chǎng),進(jìn)行跨國并購,成功的銀行跨國并購不僅可以擴(kuò)大銀行的規(guī)模和業(yè)務(wù)范圍,帶來規(guī)模經(jīng)濟(jì),還可以打開國際市場(chǎng),獲得國際市場(chǎng)的準(zhǔn)入證,從而提升銀行的經(jīng)營業(yè)績(jī),從而獲得范圍經(jīng)濟(jì)。然而,銀行的并購并不總是能為銀行帶來好的方面,相反,由于并購后地域和文化的差異將導(dǎo)致管理難度的增大,從而導(dǎo)致銀行在并購后的業(yè)績(jī)將降低。隨著經(jīng)濟(jì)一體化和金融全球化的發(fā)展,跨國并購和收購已經(jīng)成為實(shí)現(xiàn)中國商業(yè)銀行進(jìn)入國際市場(chǎng)的重要途徑之一。銀行的跨國并購也已成為中國的金融從業(yè)者和研究者關(guān)注的焦點(diǎn)。而中國工商銀行作為中國四大商業(yè)銀行之首,1984年,中國工商銀行開始跨國并購,開啟了中國商業(yè)銀行跨國并購之門,近年來,中國工商銀行也一直積極探索跨國并購之路。因此,本文選擇中國工商銀行近年來發(fā)生的跨國并購的案例,運(yùn)用并購相關(guān)理論,競(jìng)爭(zhēng)優(yōu)勢(shì)理論,規(guī)模經(jīng)濟(jì)理論和交易成本理論,以及金融學(xué)等相關(guān)知識(shí),采用理論研究和案例研究相結(jié)合的研究方法,主要從兩個(gè)角度出發(fā):一是分析工商銀行并購東亞銀行的成本,二是分析銀行跨國并購的績(jī)效,本文發(fā)現(xiàn)銀行跨國并購的效率變化主要是通過影響跨國并購的成本而引起的,為了解決銀行并購的問題,本文還提出相關(guān)的對(duì)策及建議。期望對(duì)于我國其他商業(yè)銀行的跨國并購有一定的借鑒意義。
[Abstract]:Since 1990s, in order to expand their scale and gain economies of scale, many enterprises have been popular in the world, especially bank mergers and acquisitions. In recent years, many large banks have actively sought overseas markets for cross-border mergers and acquisitions. Successful cross-border mergers and acquisitions can not only expand the scale and scope of business of banks, but also open up the international market. Access to the international market to improve the performance of banks, thereby achieving economies of scope. However, mergers and acquisitions of banks do not always bring good aspects for banks. On the contrary, due to the differences of regions and cultures after mergers and acquisitions, it will lead to more difficult management, which will lead to lower performance of banks after mergers and acquisitions. With the development of economic integration and financial globalization, cross-border mergers and acquisitions have become one of the important ways for Chinese commercial banks to enter the international market. Bank M & A has also become the focus of Chinese financial practitioners and researchers. Industrial and Commercial Bank of China (ICBC), as the first of the four commercial banks in China, began cross-border mergers and acquisitions in 1984, which opened the door of cross-border mergers and acquisitions of Chinese commercial banks. In recent years, ICBC has been actively exploring the road of cross-border mergers and acquisitions. Therefore, this paper chooses the case of transnational M & A of ICBC in recent years, and applies the relevant knowledge of M & A theory, competitive advantage theory, scale economy theory and transaction cost theory, as well as finance, etc. Using the method of combining theoretical research and case study, this paper analyzes the cost of ICBC's merger and acquisition of Bank of East Asia and the performance of Bank of East Asia's cross-border M & A from two aspects: first, the cost of ICBC's merger and acquisition of the Bank of East Asia; This paper finds that the efficiency change of bank cross-border M & A is mainly caused by influencing the cost of cross-border M & A. In order to solve the problem of bank M & A, this paper also puts forward some relevant countermeasures and suggestions. It is expected to be useful to other commercial banks in our country.
