【摘要】：并購重組業(yè)績承諾違約事件頻現(xiàn),本文以2008年5月18日至2015年12月31日期間發(fā)生重大資產重組交易并做出業(yè)績承諾的上市公司為樣本,分三個層次分析并購重組業(yè)績承諾到期后上市公司業(yè)績的變化,并購標的業(yè)績承諾達標與否對上市公司業(yè)績的影響,以及不同補償方式對上市公司業(yè)績的影響。結果表明:業(yè)績承諾到期后,上市公司的經營業(yè)績會下滑;并購標的業(yè)績達標的上市公司,比并購標的業(yè)績不達標的上市公司經營業(yè)績更好;獲得股份補償?shù)纳鲜泄?經營業(yè)績明顯好于獲得現(xiàn)金補償?shù)纳鲜泄尽Ｆ谕狙芯繛椴①徶亟M業(yè)績承諾政策的實施提供更為全面的證據,也為監(jiān)管機構建立更為有效的補償機制提供政策參考。
[Abstract]:In this paper, a sample of listed companies with significant asset restructuring transactions and performance commitments between May 18, 2008 and December 31, 2015 is used as a sample. This paper analyzes the changes of listed companies' performance after the expiration of M & A performance commitment, the impact of the target performance commitment on the performance of listed companies, and the effect of different compensation methods on the performance of listed companies. The results show that the operating performance of listed companies will decline after the expiry of their performance commitments; the listed companies whose performance targets meet the target of mergers and acquisitions will be better than those listed companies whose performance is not up to the target of mergers and acquisitions; and the listed companies that have received share compensation, Operating performance is obviously better than the cash compensation of listed companies. This study is expected to provide more comprehensive evidence for the implementation of M & A performance commitment policy and policy reference for regulators to establish a more effective compensation mechanism.
