【摘要】：目前,關(guān)于上市公司日常經(jīng)營(yíng)管理活動(dòng)中對(duì)中小股東利益的保護(hù)措施與立法已有很多,但上市公司破產(chǎn)重整中該如何保護(hù)中小股東的利益卻無法可循。這就使得上市公司破產(chǎn)重整中存在中小股東權(quán)益被隨意侵害的現(xiàn)象,這與法律保護(hù)中小股東利益的目的不符,也不利于我國(guó)建立完善的中小股東權(quán)益保護(hù)機(jī)制。文章通過案例引申出的相關(guān)問題,探討如何保護(hù)上市公司破產(chǎn)重整中中小股東的權(quán)益,以求進(jìn)一步健全和完善中小股東權(quán)益保護(hù)機(jī)制。
[Abstract]:At present, there are many measures and legislation to protect the interests of minority shareholders in the daily management activities of listed companies, but how to protect the interests of minority shareholders in the bankruptcy reorganization of listed companies can not be followed. This makes the rights and interests of minority shareholders be infringed at will in the bankruptcy reorganization of listed companies, which is inconsistent with the purpose of protecting the interests of minority shareholders by law, and is not conducive to the establishment of a perfect protection mechanism of minority shareholders' rights and interests in our country. Through the related problems derived from the case, this paper discusses how to protect the rights and interests of minority shareholders in bankruptcy reorganization of listed companies, in order to further improve and perfect the protection mechanism of minority shareholders' rights and interests.
