【摘要】：本文以大漢控股（集團(tuán)）鋼材貿(mào)易有限公司（以下簡(jiǎn)稱大漢鋼貿(mào)）改制上市為研究對(duì)象，堅(jiān)持以理論指導(dǎo)實(shí)踐，以實(shí)踐豐富理論的研究方法，對(duì)大漢鋼貿(mào)改制上市的環(huán)境進(jìn)行了分析，并在此基礎(chǔ)上對(duì)大漢鋼貿(mào)改制上市幾個(gè)重點(diǎn)問(wèn)題進(jìn)行了闡述，對(duì)大漢鋼貿(mào)改制上市方案進(jìn)行了深入的探討，正是在這樣的分析前提下，，本文提出了大漢鋼貿(mào)改制上市實(shí)施保障措施是正確選擇中介機(jī)構(gòu)、完善公司內(nèi)部控制制度。 首先本文從改制上市應(yīng)注意的法律問(wèn)題；上市公司的法人治理結(jié)構(gòu)；關(guān)聯(lián)交易的披露問(wèn)題；同業(yè)競(jìng)爭(zhēng)的問(wèn)題；國(guó)家產(chǎn)業(yè)政策的問(wèn)題；稅收問(wèn)題；持續(xù)經(jīng)營(yíng)的計(jì)算條件；擬上市的業(yè)務(wù)規(guī)范；股東出資方式；人員、財(cái)務(wù)、資產(chǎn)、業(yè)務(wù)、機(jī)構(gòu)“五分開(kāi)”問(wèn)題及資產(chǎn)評(píng)估、折股和財(cái)務(wù)調(diào)整問(wèn)題等對(duì)大漢鋼貿(mào)改制上市應(yīng)重點(diǎn)關(guān)注的問(wèn)題進(jìn)行了分析。 接著探討了大漢控股（集團(tuán)）鋼材貿(mào)易有限公司改制上市的操作步驟：明確企業(yè)改制上市的主要目的，并組建改制上市籌備委員會(huì)；聘請(qǐng)券商及其他中介機(jī)構(gòu)，擬定并實(shí)施企業(yè)改制方案；有限責(zé)任公司增加新股東和股份；有限責(zé)任公司整體變更為股份公司；上市申請(qǐng)與核準(zhǔn)及路演及股票發(fā)行上市。 最后從正確選擇中介機(jī)構(gòu)及完善公司內(nèi)部控制制度提出了大漢鋼貿(mào)改制上市實(shí)施的保障措施。
[Abstract]:This paper takes Dahan holding (Group) Steel Trading Co., Ltd (hereinafter referred to as Dahan Steel Trade) as the research object, insists on guiding practice by theory, and enriches theoretical research methods by practice. This paper analyzes on the environment of Dahan steel trade reform and listing, and on the basis of this, expounds several key issues of Dahan steel trade reform listing, and probes deeply into the listing scheme of Dahan steel trade reform. It is precisely under such an analysis premise that the listed scheme of Dahan steel trade reform is discussed. In this paper, the author puts forward that the guarantee measures for the listing of Dahan Iron and Steel Co., Ltd is to select the intermediary institution correctly and perfect the internal control system of the company. First of all, this paper discusses the legal problems that should be paid attention to; the corporate governance structure of listed companies; the disclosure of related party transactions; the issue of interbank competition; the issue of national industrial policy; the issue of taxation; the calculation conditions of continuing operation; This paper analyzes the problems that should be paid attention to in the reform of the trade system of Dahan Steel and Iron & Steel Co., Ltd., such as the business norm, the way of shareholders' contribution, personnel, finance, assets, business, organization "five separate" and assets evaluation, stock conversion and financial adjustment, etc. Then it discusses the operation steps of the restructuring and listing of Dahan Holdings (Group) Steel Trading Co., Ltd.: the main purpose of the restructuring and listing of enterprises is clear, and the organizing committee of restructuring listing is set up, and the securities firms and other intermediary organizations are engaged. To formulate and implement enterprise restructuring plan; limited liability company to add new shareholders and shares; limited liability company as a whole to change into a joint stock company; listing application and approval, roadshow and stock listing. At last, the paper puts forward the guarantee measures for the implementation of Dahan Steel Trade Reform from the perspective of choosing the intermediary institution correctly and perfecting the internal control system of the company.
