【摘要】：中國(guó)證券市場(chǎng)20年的發(fā)展史,也是中國(guó)改革開(kāi)放的縮影�；厥走^(guò)去的20年(1990--2012),中國(guó)證券市場(chǎng)已取得了巨大的成就。證券市場(chǎng)被稱為國(guó)民經(jīng)濟(jì)的晴雨表,該市場(chǎng)是否健康發(fā)展也直接影響著中國(guó)經(jīng)濟(jì)的可持續(xù)發(fā)展。作為中國(guó)證券市場(chǎng)國(guó)際化的方向標(biāo)之一,中國(guó)公司的境外上市確實(shí)帶來(lái)了證券市場(chǎng)國(guó)際化的大繁榮。雖然近幾年出現(xiàn)不少境外上市公司退市、停牌的現(xiàn)象,但對(duì)自身的資金積累仍滿足不了“中國(guó)速度”的中國(guó)來(lái)說(shuō),境外籌資依然是重要的國(guó)家政策之一,中國(guó)證券市場(chǎng)的廣度和深度還需要我國(guó)公司通過(guò)境外上市進(jìn)一步拓展。 市場(chǎng)發(fā)展需要監(jiān)管,證券市場(chǎng)由于其自身的高風(fēng)險(xiǎn)性以及近年來(lái)境外上市公司虛假陳述等問(wèn)題的出現(xiàn),監(jiān)管更是重頭戲。盡管我國(guó)關(guān)于這方面的監(jiān)管制度取得不小進(jìn)步,但實(shí)踐中依然暴露出不少問(wèn)題：混亂的法律體系,不合時(shí)宜的法律規(guī)定,事后監(jiān)管的缺失,晚起步的國(guó)際監(jiān)管合作都在一定程度上影響和制約了我國(guó)證券市場(chǎng)的發(fā)展以及我國(guó)公司境外上市繁榮發(fā)展的步伐。本文的目的是通過(guò)對(duì)我國(guó)公司境外上市監(jiān)管方面的研究,在完善理論研究的基礎(chǔ)上加強(qiáng)對(duì)境外上市公司的有效監(jiān)管,以期能為今年對(duì)境外上市規(guī)定的全面修改提供幫助。
[Abstract]:The 20-year history of China's securities market is also a microcosm of China's reform and opening up. Looking back on the past 20 years (1990-2012), China's securities market has made great achievements. The securities market is called the barometer of the national economy. Whether the market develops healthily also directly affects the sustainable development of Chinese economy. As one of the directions of the internationalization of China's securities market, the overseas listing of Chinese companies has indeed brought about the prosperity of the internationalization of the securities market. Although many overseas listed companies have been delisted and their trading suspended in recent years, for China, where its own accumulation of funds is still unable to meet the "speed of China", overseas financing is still one of the important national policies. The breadth and depth of China's securities market need to be further expanded through overseas listing. The development of the market needs supervision, and the supervision of the securities market is more important because of its high risk and the appearance of the misrepresentation of overseas listed companies in recent years. Although China's regulatory system in this area has made considerable progress, but in practice, there are still many problems: a chaotic legal system, outdated legal provisions, lack of supervision after the event, The late start of international regulatory cooperation has influenced and restricted the development of China's securities market to a certain extent and the prosperity of overseas listing of Chinese companies. The purpose of this paper is to strengthen the effective supervision of the overseas listed companies on the basis of perfecting the theoretical research through the research on the supervision of overseas listing of Chinese companies in order to provide help for the comprehensive revision of the overseas listing regulations this year.
