【摘要】：近年來股權(quán)眾籌在世界范圍內(nèi)發(fā)展迅速,成為互聯(lián)網(wǎng)金融最具前景的創(chuàng)新模式之一,對初創(chuàng)企業(yè)發(fā)展大有裨益。各國立法迅速跟進(jìn),在傳統(tǒng)公開募股制度體系內(nèi),對小規(guī)模募股實施豁免,為眾籌發(fā)展預(yù)留法律空間。本文從眾籌歷史發(fā)展脈絡(luò)介紹入手,分析眾籌法律實質(zhì),匯集各國立法實踐,陳述我國法律瓶頸,在此基礎(chǔ)上,就中國如何構(gòu)建眾籌法律體系及實踐路徑,提出建設(shè)性意見和針對性建議。
[Abstract]:In recent years, crowdfunding has developed rapidly in the world and become one of the most promising innovative models in Internet finance, which is of great benefit to the development of start-ups. This paper introduces the history of crowdfunding, analyzes the essence of crowdfunding, gathers the legislative practice of various countries, and states the legal bottleneck of our country. This paper puts forward constructive suggestions and targeted suggestions on how to construct the legal system of crowdfunding in China and its practical path.
