【摘要】：現(xiàn)代公司董事會的決策模式具有對外權(quán)威型和對內(nèi)共識型的雙重特征,從決策內(nèi)容看,主要表現(xiàn)為大量非程序化決策,因此,董事會在決策過程中彌補信息獲取不足、充分發(fā)揮群體智慧至關(guān)重要。為此,宜借鑒組織行為研究成果,在決策中做好信息數(shù)據(jù)的前瞻性把握,培養(yǎng)獨立、多樣的信息來源,積極、主動地參與戰(zhàn)略目標(biāo)設(shè)定,同時在董事會內(nèi)部努力營造建設(shè)性沖突氛圍,克服決策者認(rèn)知偏誤對群體決策的影響。
[Abstract]:The decision-making mode of the board of directors of modern companies has the dual characteristics of external authority and internal consensus. From the decision content, it is mainly manifested in a large number of non-procedural decision-making, therefore, the board of directors in the decision-making process to make up for the lack of access to information. It is essential to give full play to collective wisdom. Therefore, we should draw lessons from the research results of organizational behavior, make a forward-looking grasp of information data in decision-making, cultivate independent and diverse sources of information, actively and actively participate in strategic goal setting. At the same time, we try to create a constructive conflict atmosphere within the board of directors to overcome the impact of cognitive bias on group decision-making.
