【摘要】:中國(guó)加入世界貿(mào)易組織以來,市場(chǎng)競(jìng)爭(zhēng)日趨白熱化,集團(tuán)企業(yè)成為市場(chǎng)競(jìng)爭(zhēng)的主力軍,甚至成為市場(chǎng)經(jīng)濟(jì)的主宰者。企業(yè)從小到大,走集團(tuán)化、規(guī)模化的道路,組建集團(tuán)是增強(qiáng)競(jìng)爭(zhēng)力,加快發(fā)展的有效途徑。在企業(yè)發(fā)展過程中,外延式增長(zhǎng)向集約式增長(zhǎng)轉(zhuǎn)變的壓力越來越大,面對(duì)經(jīng)濟(jì)的高速發(fā)展和全球化進(jìn)程,深化集團(tuán)企業(yè)改革,優(yōu)化和完善管控模式,成為現(xiàn)代集團(tuán)企業(yè)改革和發(fā)展的核心問題。當(dāng)前,國(guó)內(nèi)外對(duì)集團(tuán)公司的管理十分重視,眾多的企業(yè)管理研究成果和著作層出不窮,然而對(duì)集團(tuán)公司的管控模式研究不多,特別是國(guó)有企業(yè)橫向兼并重組,如何在新的管理框架下,明確公司治理結(jié)構(gòu),發(fā)揮集團(tuán)管控職能,通過集團(tuán)內(nèi)部的授權(quán)、流程、組織、風(fēng)險(xiǎn)、企業(yè)文化、發(fā)展戰(zhàn)略等控制手段,化解集團(tuán)的風(fēng)險(xiǎn)、降低管理成本,提高企業(yè)效益。近年來,盡管一些集團(tuán)公司在發(fā)展中對(duì)集團(tuán)管控進(jìn)行了各種有益的實(shí)踐探索,但在集團(tuán)管控方面依然存在一些問題,暴露出管理弊病,一些集團(tuán)企業(yè)內(nèi)部“集而不團(tuán)”,不能充分發(fā)揮集團(tuán)的優(yōu)勢(shì),在殘酷的市場(chǎng)競(jìng)爭(zhēng)中面臨種種危機(jī)。為了更好地進(jìn)行集團(tuán)組織變革,厘清集團(tuán)管控的基本問題,迫切要求科學(xué)合理的構(gòu)建管控模式,按照現(xiàn)代企業(yè)管理要求,完善公司法人治理機(jī)構(gòu),增強(qiáng)企業(yè)的經(jīng)營(yíng)活力和綜合競(jìng)爭(zhēng)能力,推動(dòng)集團(tuán)實(shí)現(xiàn)轉(zhuǎn)型發(fā)展。本文以HL集團(tuán)為例,根據(jù)集團(tuán)公司的發(fā)展歷程,研究適應(yīng)企業(yè)發(fā)展的母子公司管控模式。本文對(duì)集團(tuán)公司,特別是國(guó)有企業(yè)的并購重組,建立和完善管控模式具有一定的借鑒和指導(dǎo)意義。
[Abstract]:Since China joined the world trade organization, increasingly intense market competition, enterprise group has become the main force of market competition, and even dominate the market economy. Enterprises from small to large, take the group, the scale of the road, the formation of the group is to enhance the competitiveness, the effective way to speed up the development. In the process of enterprise development, extension and pressure the transformation of economic growth to intensive growth is larger, with the rapid development of economy and globalization, the deepening of group enterprise reform, optimize and improve the management mode, become the core issues in the reform and development of the modern enterprise group. At present, domestic and foreign to the corporation's management attaches great importance to the enterprise management, many research achievements and works emerge in an endless stream, however not much research on control mode of group companies, especially state-owned enterprises horizontal merger and reorganization, how under the new regulatory framework, a clear corporate governance structure, Play group control function, through internal authorization, process, organization, risk, enterprise culture, development strategy and other means of control, to resolve the group's risk, reduce management costs, improve enterprise efficiency. In recent years, although some group companies in the development of group management and control practices are carried out all kinds of useful, but in the group control there are still some problems exposed management ills, "some of the group companies set instead of group" can not give full play to the advantages of the group, facing various crises in the brutal competition in the market. In order to better group organizational change, basic problems of group control, there is an urgent need to build scientific and reasonable control mode and in accordance with the requirements of modern enterprise management, improve the corporate governance mechanism, enhance the vitality of enterprise management and comprehensive competition ability, promote the realization of transformation and development. The group with the HL group For example, according to the development process of the group company, we study the management mode of the parent subsidiary company which is suitable for the development of the enterprise. This article has certain reference and guidance significance for the group company, especially the state-owned enterprise's M & A, to establish and perfect the management and control mode.
